All services under this Purchase Order shall be performed in France Lyon during the period of 12 July 2025 through 14 July 2025. The Musician and accompanying ensemble are required to arrive at the designated venue no later than 15:00 hours on each performance day. The primary performance window shall be from 20:00 to 22:30 hours, in compliance with the noise ordinance regulations of the City of Lyon, France. Rehearsals shall take place on 10 and 11 July 2025 at the Confluence District rehearsal facility.
Payment for this Purchase Order shall be made via bank transfer to the account of Artiste Sonore & Musical Services. A deposit of 40% (EUR 9,288.00) shall be due upon acceptance of this Purchase Order. The remaining 60% (EUR 13,932.00) shall be payable within fifteen (15) business days following the successful completion of all Musician performances in France Lyon. Late payments shall incur interest at the rate of 1.5% per month, in accordance with French commercial law (Code de commerce, Article L441-10).
- This Purchase Order is subject to the general terms and conditions of Lyon Events & Cultural Productions SARL, as well as the specific contractual obligations outlined herein regarding the engagement of the Musician.
- The Musician shall comply with all applicable French labor laws, performance licensing requirements (SACEM, SCPP), and local municipal regulations governing public events in France Lyon.
- The Seller warrants that the Musician engaged under this Purchase Order holds all necessary professional credentials, performance licenses, and insurance coverage valid in the region of France Lyon.
- Any modification to the scope of services, performance dates, or venue locations within France Lyon must be agreed upon in writing by both parties prior to execution.
- In the event of cancellation by the Buyer, a penalty of 25% of the total Purchase Order value shall apply if cancellation occurs less than fourteen (14) days before the first performance date.
- All intellectual property rights pertaining to original compositions performed by the Musician remain the sole property of the Musician or their designated rights holders. The Buyer is granted a limited license to record and broadcast performances for promotional purposes within France Lyon for a period of twelve (12) months.
- Disputes arising from this Purchase Order shall be resolved by the competent courts of Lyon, France, or by arbitration under the rules of the Lyon Chamber of Commerce and Industry.
- The Musician shall maintain professional conduct at all times during the engagement in France Lyon and shall adhere to the code of conduct established by the Buyer for all festival participants.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Musician for the Festival des Lumières Musicales 2025 in France Lyon. This document, once countersigned, shall serve as the definitive agreement between the parties for the services described herein.
