2. Scope of Services – Musician Engagement in Germany Berlin

This Purchase Order is issued by Berlin Cultural Events GmbH to formally engage the services of the above-named Musician, Dr. Markus Steinbach, for the provision of professional musical performance, composition, and artistic direction services at multiple venues located in Germany Berlin. 4. Payment Terms

Payment shall be made via SEPA bank transfer to the Musician's designated account in Germany Berlin. The following schedule applies:

  • 50% advance payment (EUR 13,560.05) due within 10 business days of acceptance of this Purchase Order, no later than 24 June 2025.
  • 40% interim payment (EUR 10,848.04) due upon completion of the composition deliverable (Item 02) and the rehearsal supervision (Item 03), no later than 15 July 2025.
  • 10% final payment (EUR 2,712.01) due within 14 calendar days after the final performance and recording session, no later than 10 August 2025.
  • Late payments shall incur interest at the statutory rate under § 288 BGB (currently 8 percentage points above the ECB base rate for business transactions).

5. Terms and Conditions

  1. Governing Law and Jurisdiction: This Purchase Order and all services rendered under it shall be governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
  2. Intellectual Property: All compositions, arrangements, and recordings created by the Musician specifically for Berlin Cultural Events GmbH under this Purchase Order shall be the exclusive property of the Purchaser upon full payment. The Musician retains moral rights (Urheberpersönlichkeitsrecht) under German copyright law (Urheberrechtsgesetz – UrhG).
  3. Performance Obligations: The Musician guarantees that all performances will be delivered at the highest professional standard. In the event of illness or force majeure preventing the Musician from performing, a substitute of equivalent caliber must be provided at no additional cost, subject to the Purchaser's written approval.
  4. Insurance: The Musician shall maintain professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 1,000,000 per occurrence throughout the duration of this engagement in Germany Berlin. Proof of insurance shall be provided prior to the first performance date.
  5. Compliance: The Musician confirms that all services will be performed in compliance with the German Working Hours Act (Arbeitszeitgesetz), the Berlin State Act on the Protection of Cultural Property, and all applicable noise regulations (Immissionsschutzgesetz) at the respective venues in Germany Berlin.
  6. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the content of the commissioned works, and any proprietary information exchanged during the engagement period.
  7. Termination: Either party may terminate this Purchase Order with 21 days' written notice. In the event of termination by the Purchaser without cause, the Musician shall be compensated for all services rendered and materials prepared up to the date of termination.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures of venues in Germany Berlin, or pandemics, provided that the affected party notifies the other within 48 hours.
  9. Anti-Corruption: The Musician warrants that no part of the compensation under this Purchase Order has been or will be offered as a bribe or improper inducement to any public official in Germany Berlin or elsewhere.
