Payment for this Purchase Order shall be made via bank transfer (SEPA) to the Musician's designated account within fourteen (14) calendar days of receipt of a valid invoice. The Musician shall issue a VAT-compliant invoice in accordance with German tax law (Umsatzsteuergesetz). A 50% advance payment is due upon acceptance of this Purchase Order, and the remaining 50% shall be settled within the stated payment window following completion of all scheduled services. All services provided by the Musician under this Purchase Order are subject to the following conditions: (a) The Musician warrants that all musical works performed or recorded are either original compositions or properly licensed under German and international copyright law. (b) The Musician shall maintain adequate professional liability insurance covering a minimum of EUR 1,000,000 for the duration of the engagement in Germany Frankfurt. (c) Cancellation by either party must be communicated in writing no fewer than fourteen (14) days prior to the scheduled event date; failure to do so shall result in a cancellation fee of 40% of the applicable service fee. (d) The Musician shall comply with all health and safety regulations applicable to public events in the city of Frankfurt am Main, including but not limited to the Hessisches Infektionsschutzgesetz. (e) This Purchase Order is governed by the laws of the Federal Republic of Germany, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main.
