Terms and Conditions
- Scope of Engagement: The Musician, Jonas Reinhardt, hereby accepts the terms of this Purchase Order and agrees to provide the live musical performance services as described in the line items above at the Residenztheater in Munich, Germany, on the specified date. The Musician shall arrive at the venue no later than 17:00 CET on 22 August 2025 for final preparations.
- Performance Standards: The Musician warrants that all performances shall be delivered at a professional level consistent with his established reputation in the Munich classical and jazz music scene. All sheet music, arrangements, and audio references shall be delivered to the Purchasing Party no later than 15 August 2025.
- Cancellation Policy: Cancellation by the Purchasing Party more than 30 days prior to the event date shall result in no charge. Cancellation between 30 and 14 days prior shall incur a 50% fee of the total Purchase Order value. Cancellation within 14 days of the event date shall result in full payment of the total amount stated herein.
- Force Majeure: Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including but not limited to severe weather affecting Munich, government-mandated venue closures, or public health restrictions as determined by the Bayerisches Staatsministerium für Gesundheit und Pflege.
- Intellectual Property: All custom arrangements created specifically for this event under Item 3 of this Purchase Order shall remain the intellectual property of the Musician. The Purchasing Party receives a non-exclusive, non-transferable license to use audio recordings of the live performance for internal corporate communications only.
- Compliance with German Law: This Purchase Order and the services rendered hereunder shall comply with all applicable German federal and Bavarian state regulations, including but not limited to the German Civil Code (BGB), the German Copyright Act (UrhG), and local Munich noise ordinance regulations (Münchner Lärmverordnung) applicable to the Residenztheater venue.
- Insurance: The Musician shall maintain valid professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of 500,000 EUR throughout the duration of this engagement in Munich, Germany. Proof of insurance shall be provided upon request.
- Payment Method: All payments shall be made via SEPA bank transfer to the Musician's designated account in Munich, Germany. Late payments shall accrue interest at the statutory rate of 8 percentage points above the European Central Bank base rate, as per § 288 BGB.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the event details, and any proprietary musical arrangements shared in connection with this engagement in Munich, Germany.
- Entire Agreement: This Purchase Order, together with any attached schedules or specifications, constitutes the entire agreement between the parties regarding the Musician's services for the specified event. Any amendments must be made in writing and signed by both parties.
Acceptance and Authorization
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order for Musician services to be performed in Munich, Germany. This document serves as the binding procurement instrument under German commercial law.
