- This Purchase Order constitutes a binding agreement between Stellar Events & Entertainment Pvt. Ltd. (hereinafter "the Buyer") and the named Musician (hereinafter "the Vendor") for the provision of musical performance services in India Bangalore.
- The Musician shall arrive at the venue no later than 120 minutes prior to the scheduled performance start time of 7:00 PM IST on 28 June 2025. The venue is located in the Whitefield area of Bangalore, Karnataka, India.
- The Musician is responsible for bringing all personal instruments, accessories, and backup equipment. The Buyer shall provide stage access, basic sound reinforcement (PA system, two microphones, and a monitor mix), and a dedicated green room for preparation.
- Payment of 50% (INR 63,720) shall be disbursed via NEFT/IMPS to the Vendor's designated bank account in Bangalore within 3 working days of written acceptance of this Purchase Order. The remaining 50% (INR 63,720) shall be paid within 7 working days following successful completion of the performance.
- The Musician shall comply with all applicable Indian entertainment regulations, including any local noise ordinances in the Bangalore municipal zone where the venue is situated. All performances shall adhere to the content guidelines provided by the Buyer.
- In the event of cancellation by the Buyer with more than 72 hours' notice, the Musician shall be compensated 25% of the total Purchase Order value. Cancellation within 72 hours shall attract 50% compensation. Cancellation by the Musician without valid medical or force majeure reason shall result in forfeiture of the advance payment.
- The Musician grants the Buyer a non-exclusive, non-transferable license to record and broadcast the live performance for internal corporate communications and the Buyer's official social media channels, subject to prior written consent of the Musician.
- All disputes arising from this Purchase Order shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
- The Musician confirms that all services rendered under this Purchase Order shall be performed personally and shall not be subcontracted or delegated to any third party without the prior written approval of the Buyer.
- This Purchase Order is valid for acceptance until 30 June 2025. Failure to confirm acceptance by the stated date shall render this Purchase Order null and void.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Musician in India Bangalore.
