- Acceptance: This Purchase Order shall become binding upon written acceptance by the Musician, Arjun Deshmukh, within seven (7) calendar days of the date of issue. The Musician shall return a signed copy of this Purchase Order to the Buyer's procurement office located in Mumbai, India.
- Performance Location: All services under this Purchase Order shall be rendered exclusively at the JW Marriott Hotel, Cuffe Parade, Mumbai, Maharashtra, India, or at such other venue in Mumbai, India, as mutually agreed in writing by both parties.
- Payment Terms: The Buyer shall remit fifty percent (50%) of the Grand Total as an advance payment within five (5) working days of Purchase Order acceptance. The remaining fifty percent (50%) shall be paid within ten (10) working days of successful completion of the Musician's performance in Mumbai, India. All payments shall be made via NEFT/RTGS to the bank account designated by the Musician.
- Taxation: All amounts are subject to Goods and Services Tax (GST) at the prevailing rate of 18% as applicable in India. The Musician shall issue a valid GST tax invoice in accordance with the Central Goods and Services Tax Act, 2017, and the Maharashtra State GST regulations applicable in Mumbai, India.
- Musician's Obligations: The Musician shall ensure punctuality, professional conduct, and delivery of all musical performances as per the agreed setlist and program. The Musician shall bring all personal instruments and shall coordinate the string ensemble. The Musician shall comply with all venue rules and local regulations of Mumbai, Maharashtra, India.
- Intellectual Property: All custom compositions and arrangements created by the Musician under this Purchase Order shall become the exclusive intellectual property of the Buyer upon full payment. The Musician retains the right to perform the compositions at other events in Mumbai, India, or elsewhere, provided the Buyer's brand is not associated.
- Cancellation Policy: In the event the Buyer cancels this Purchase Order, a cancellation fee of 25% of the Grand Total shall apply if cancellation occurs more than 14 days before the event date, and 50% if cancellation occurs within 14 days. The Musician shall bear no liability for cancellation due to force majeure events including but not limited to natural disasters affecting Mumbai, India.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, India. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, and all applicable municipal regulations of the Municipal Corporation of Greater Mumbai (MCGM), India Mumbai.
- Confidentiality: Both the Buyer and the Musician agree to maintain strict confidentiality regarding the terms of this Purchase Order, the event details, and any proprietary musical content exchanged. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Entire Agreement: This Purchase Order, along with any annexures and schedules attached hereto, constitutes the entire agreement between the Buyer and the Musician regarding the engagement of musical services in Mumbai, India, and supersedes all prior negotiations, representations, or agreements.
