Description of Services – Musician Engagement

This Purchase Order is issued by Aravinda Entertainments Pvt. Ltd., a registered entertainment and event management company headquartered in India New Delhi, to formally engage the services of a professional Musician for the upcoming corporate gala and cultural festival. The Musician shall provide live musical performances, including but not limited to classical Indian instrumental compositions, contemporary fusion arrangements, and ceremonial music, as specified in the scope of work below. All services rendered under this Purchase Order shall be executed within the jurisdiction of India New Delhi and its surrounding metropolitan areas.

Terms and Conditions

This Purchase Order constitutes a binding agreement between Aravinda Entertainments Pvt. Ltd. (hereinafter referred to as "the Buyer") and the named Musician (hereinafter referred to as "the Service Provider") for the provision of musical performance and composition services in India New Delhi.
The Musician shall arrive at the designated venue no later than 90 minutes prior to the scheduled performance time. All equipment, including but not limited to the Sitar, Tabla, microphones, and personal audio interfaces, shall be brought by the Musician unless otherwise specified in writing.
Payment under this Purchase Order shall be processed via bank transfer to the account designated by the Musician within thirty (30) calendar days from the date of successful completion and written acceptance of all deliverables. A 50% advance payment of ₹1,07,380 (inclusive of GST) shall be disbursed upon acceptance of this Purchase Order.
The Musician warrants that all compositions, recordings, and musical works created under this Purchase Order shall be original and shall not infringe upon any third-party intellectual property rights. Full copyright and commercial usage rights for all deliverables shall vest with the Buyer upon full payment.
All services shall be performed in compliance with the applicable laws of the Republic of India, including the Income Tax Act, the Goods and Services Tax (GST) Act, and any local municipal regulations pertaining to public performances in India New Delhi.
In the event of cancellation by the Buyer, a cancellation fee of 25% of the total Purchase Order value shall be payable to the Musician if the cancellation is communicated less than seven (7) days prior to the scheduled event date.
The Musician shall maintain adequate professional liability insurance coverage for the duration of the engagement in India New Delhi and shall provide a certificate of insurance upon request.
Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being New Delhi, India. The language of arbitration shall be English.
This Purchase Order shall remain valid until 30 June 2025. Acceptance beyond this date shall require a formal written amendment signed by both parties.
The Musician agrees to maintain confidentiality regarding all proprietary information, event details, and internal communications shared during the course of this engagement in India New Delhi.

Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order. The Musician confirms availability and commitment to deliver all services as described, and the Buyer confirms the financial obligation associated with this engagement in India New Delhi.
