- This Purchase Order constitutes a binding agreement between Nusantara Events & Entertainment PT (hereinafter “the Buyer”) and the Musician, Andika Prasetyo operating under Prasetyo Music Collective (hereinafter “the Supplier”), for the provision of musical performance services in Indonesia Jakarta.
- The Musician shall arrive at the venue no later than 16:00 WIB on 22 August 2025 for soundcheck and stage setup. The Buyer shall provide a dedicated green room, catering for the Musician and ensemble, and all necessary technical support as outlined in this Purchase Order.
- All services described in this Purchase Order shall be performed in Indonesia Jakarta in compliance with local entertainment regulations, including but not limited to permits issued by the Jakarta Provincial Government (Dinas Pariwisata DKI Jakarta) and the relevant music licensing authority (LAI — Lembaga Artis Indonesia).
- Payment shall be made via bank transfer to the account specified by the Musician within thirty (30) calendar days from the date of invoice submission. The Buyer shall deduct applicable withholding tax (PPh Pasal 23) at the rate of 2% as mandated by Indonesian tax law, and the Musician shall issue a proper tax invoice (faktur pajak) for the full amount.
- The Musician grants the Buyer a non-exclusive, royalty-free license to use the recorded performance for internal corporate communications and promotional materials for a period of twelve (12) months from the performance date. Any commercial distribution beyond this scope requires a separate written agreement.
- In the event of cancellation by the Buyer more than fourteen (14) days prior to the performance date, the Musician shall be compensated at 50% of the total Purchase Order value. Cancellation within fourteen (14) days shall result in 100% payment of the Purchase Order total.
- Force majeure events, including but not limited to natural disasters, government-mandated closures in Indonesia Jakarta, or public health emergencies, shall relieve both parties from performance obligations without penalty. The Purchase Order shall be renegotiated in good faith within fourteen (14) days of the event’s resolution.
- All disputes arising from this Purchase Order shall be resolved through mediation in Indonesia Jakarta under the rules of the Jakarta Arbitration Board. If mediation fails, the matter shall be submitted to the competent court in South Jakarta, Indonesia Jakarta.
- The Musician warrants that all compositions performed are either original works or properly licensed, and that the Musician holds all necessary performance rights. The Musician shall indemnify the Buyer against any intellectual property claims arising from the performance.
- This Purchase Order is governed by the laws of the Republic of Indonesia. All communications regarding this Purchase Order shall be conducted in English or Bahasa Indonesia, with the English version prevailing in case of discrepancy.
