• Interim Payment (30%): 68,400,000 IRR to be paid upon completion of Items 01 and 02, subject to satisfactory performance review by the Purchasing Party.
• Final Payment (30%): 68,400,000 IRR to be paid within ten (10) business days following the completion of all remaining services (Items 03, 04, and 05).

Any late payment shall incur a penalty of 0.5% per day of delay, in compliance with the commercial laws of the Islamic Republic of Iran. All applicable taxes, including Value Added Tax (VAT) as mandated by the Iranian National Tax Administration, shall be calculated and added to the total Purchase Order value.

1. The Musician guarantees that all compositions and arrangements delivered under this Purchase Order shall be original works, free from any intellectual property claims by third parties. The Musician shall indemnify the Purchasing Party against any infringement claims arising in Tehran or elsewhere in Iran.
2. The Musician shall arrive at each event venue in Tehran no later than ninety (90) minutes prior to the scheduled start time for sound checks, instrument setup, and coordination with the venue's technical staff.
3. All musical instruments, equipment, and accessories required for the performance shall be provided and maintained by the Musician at no additional cost to the Purchasing Party, unless otherwise specified in writing as an amendment to this Purchase Order.
4. In the event of force majeure, including but not limited to severe weather affecting Tehran, government-mandated event cancellations, or public health emergencies, either party may suspend or cancel the affected services under this Purchase Order without penalty, provided written notice is given at least forty-eight (48) hours in advance.
5. The Musician shall maintain professional conduct at all times during events held in Tehran, Iran, and shall adhere to the dress code and behavioral standards specified by the venue management and the Purchasing Party.
6. This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Tehran, Iran.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and service specifications outlined in this Purchase Order for Musician services in Tehran, Iran. This document constitutes a binding agreement between the Purchasing Party and the Musician effective from the date of the last signature.
