- Acceptance: This Purchase Order constitutes a binding offer. The Musician shall confirm acceptance in writing within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order void.
- Performance Location: All services under this Purchase Order shall be performed in Israel Tel Aviv. The Musician is responsible for ensuring all necessary permits, local registrations, and compliance with the Israel Copyright Society (SAG) and the Musicians' Union of Israel are in place prior to the performance date.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Musician. Payment shall be processed via bank transfer to the account specified in Section 2. Late payments shall accrue interest at the rate prescribed by the Israeli Interest Law.
- Intellectual Property: All compositions, arrangements, and recordings created specifically for this engagement shall become the exclusive property of MediMusic Events Ltd. upon full payment. The Musician retains the right to perform the original composition at other venues in Israel Tel Aviv and internationally, provided that MediMusic Events Ltd. is credited as the commissioning entity.
- Cancellation: Either party may cancel this Purchase Order with a minimum of fourteen (14) days' written notice prior to the performance date. Cancellation within fourteen days shall incur a fee of 50% of the total Purchase Order value. Cancellation by the Musician due to force majeure shall be exempt from such fees.
- Insurance: The Musician shall maintain professional liability insurance with a minimum coverage of ILS 500,000 for the duration of the engagement in Israel Tel Aviv. A certificate of insurance shall be provided to MediMusic Events Ltd. no later than seven (7) days before the performance date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Tel Aviv, Israel.
- Confidentiality: The Musician agrees to keep all non-public information regarding the event, guest list, and program details confidential. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Compliance: The Musician warrants that all services rendered under this Purchase Order shall comply with all applicable Israeli labor laws, tax obligations, and cultural performance regulations as enforced by the Ministry of Culture and Sport of Israel.
