- Scope of Engagement: The Musician, Maestro Giacomo Ferrante, agrees to provide all musical services as detailed in the line items above. All performances, rehearsals, compositions, and consultations shall take place at the specified venues within the metropolitan area of Italy Milan unless otherwise agreed in writing by both parties.
- Payment Terms: The Purchasing Party shall remit payment within thirty (30) calendar days of the date of this Purchase Order. Payment shall be made via bank transfer to the account designated by the Musician. A 50% advance payment is due upon acceptance of this Purchase Order, with the remaining 50% due within fifteen (15) days following the completion of all services.
- Performance Standards: The Musician warrants that all services shall be performed to a professional standard consistent with the expectations of the cultural and entertainment industry in Italy Milan. The Musician shall arrive at least one (1) hour prior to each scheduled performance or rehearsal for setup and preparation.
- Equipment and Materials: The Musician shall provide all personal instruments, sheet music, and technical equipment necessary for the performance unless otherwise specified. The Purchasing Party shall provide venue-specific sound systems, stage access, and any additional instrumentation required for ensemble performances.
- Cancellation Policy: Either party may cancel this Purchase Order with a minimum of fourteen (14) days written notice. Cancellation within fourteen (14) days of the scheduled event date shall incur a fee of 50% of the total Purchase Order value. Cancellation within seventy-two (72) hours shall incur a fee of 100% of the total value.
- Intellectual Property: All original compositions and arrangements created by the Musician specifically for the events outlined in this Purchase Order shall be the exclusive property of Milano Eventi & Spettacoli S.r.l. The Musician retains the right to perform pre-existing works under applicable Italian copyright law (Legge 633/1941).
- Insurance and Liability: The Musician shall maintain adequate professional liability insurance covering all activities performed in Italy Milan. The Purchasing Party shall provide public liability coverage for all venues listed in this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the city of Italy Milan.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the nature of the events, and any proprietary musical material exchanged during the engagement in Italy Milan.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Musician in Italy Milan. This Purchase Order becomes effective upon the signature of both authorized representatives.
