- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Musician. The Musician shall return a signed copy of this Purchase Order within five (5) business days of receipt to confirm engagement.
- Performance Location: All services described in this Purchase Order shall be performed exclusively within the city of Abidjan, Ivory Coast. The Musician is responsible for complying with all local entertainment permits, noise regulations, and cultural ministry requirements applicable in Ivory Coast Abidjan.
- Payment Terms: Payment shall be made in CFA Francs (XOF) via bank transfer to the Musician's designated account. A 40% advance payment is due upon signing of this Purchase Order. The remaining 60% shall be paid within fourteen (14) calendar days following the final performance date. Late payments shall incur interest at 1.5% per month.
- Cancellation Policy: Either party may cancel this Purchase Order with a minimum of ten (10) business days' written notice. Cancellation by the Buyer within ten days of a scheduled event shall result in a 50% penalty fee payable to the Musician. Cancellation by the Musician without valid cause shall require full refund of any advance payment received.
- Intellectual Property: All original compositions performed by the Musician during engagements under this Purchase Order remain the intellectual property of the Musician. The Buyer is granted a non-exclusive license to record and distribute audio/video of performances for internal corporate use only.
- Insurance and Liability: The Musician shall maintain personal liability insurance covering performance in Ivory Coast Abidjan with a minimum coverage of 10,000,000 XOF. The Buyer shall provide adequate stage safety and venue compliance for all performance locations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated event cancellations, natural disasters, or public health emergencies declared in Ivory Coast.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Abidjan, Ivory Coast.
- Subcontracting: The Musician may engage additional musicians or technical personnel as part of the ensemble, provided that the primary Musician named in this Purchase Order retains full artistic and contractual responsibility for all performances in Ivory Coast Abidjan.
