5.1 Payment Terms: Payment for this Purchase Order shall be made within thirty (30) days of the final performance date in Japan Osaka. A deposit of 40% of the total Purchase Order value (¥1,014,000) is due upon acceptance of this Purchase Order. The remaining 60% (¥1,521,000) shall be settled via bank transfer to the account designated by Harmony Arts Musician Agency within thirty days of the last scheduled performance in Japan Osaka.
5.2 Cancellation Policy: Should the Buyer need to cancel or reschedule any Musician engagement under this Purchase Order, written notice must be provided no fewer than fourteen (14) calendar days prior to the scheduled performance date in Japan Osaka. Cancellations within fourteen days will incur a 50% fee of the applicable line item. Cancellations within seventy-two (72) hours will incur a 100% fee.
5.3 Musician Qualifications: All Musician personnel assigned under this Purchase Order must hold valid performance permits issued by the Japan Osaka Bureau of Culture and Tourism. The Musician must demonstrate a minimum of five (5) years of professional performance experience and provide proof of liability insurance covering public performance in Japan Osaka with a minimum coverage of ¥50,000,000.
5.4 Equipment and Logistics: The Seller (Musician Agency) is responsible for providing all musical instruments, amplification equipment, and personal gear required for performance. The Buyer shall provide stage access, basic lighting, and a dedicated green room at each Japan Osaka venue. Transportation within Japan Osaka between rehearsal and performance locations is the responsibility of the Buyer.
5.5 Intellectual Property: All original compositions performed by the Musician under this Purchase Order remain the intellectual property of the Musician. The Buyer is granted a non-exclusive license to record and distribute audio/video of performances held in Japan Osaka for internal corporate use only, subject to prior written consent from the Musician.
5.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with specific reference to the commercial regulations applicable in Japan Osaka. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Osaka under the rules of the Japan Commercial Arbitration Association.
5.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government-mandated closures in Japan Osaka, or other events beyond reasonable control, including but not limited to typhoons, earthquakes, or public health emergencies affecting the Japan Osaka region.
