1. This Purchase Order constitutes a binding agreement between the Buyer and the Musician upon signature by both parties. The Musician acknowledges acceptance of all terms stated herein.
2. Payment of the full amount of KES 464,000 shall be made within thirty (30) calendar days of the successful completion of the event and receipt of the Musician's final invoice, processed via bank transfer to the account designated by the Musician in Kenya Nairobi.
3. The Musician shall comply with all applicable laws and regulations of the Republic of Kenya, including but not limited to the Kenya Revenue Authority tax obligations, the Employment Act 2007 (where applicable), and local entertainment licensing requirements in Kenya Nairobi.
4. The Musician warrants that all musical compositions performed shall be either original works or properly licensed, and the Musician shall indemnify the Buyer against any intellectual property infringement claims arising from the performance.
5. Should the Musician be unable to perform due to illness or force majeure, a qualified substitute Musician of equivalent skill and experience must be provided with no less than forty-eight (48) hours' prior written notice to the Buyer.
6. All performance materials, recordings, and reports generated under this Purchase Order shall remain the property of the Buyer, unless otherwise agreed in writing.
7. Disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi, and failing resolution, through the courts of competent jurisdiction in Kenya Nairobi.
8. This Purchase Order may not be assigned or subcontracted by the Musician without the prior written consent of the Buyer.
