- This Purchase Order is issued by Estudios Sonoros del Valle, S.A. de C.V. (hereinafter "the Buyer") and is directed to the Musician identified above (hereinafter "the Service Provider") for the provision of professional musical services to be performed in Mexico Mexico City.
- The Musician agrees to deliver all services in accordance with the specifications, dates, and locations outlined in this Purchase Order. All performances and recordings shall take place at the designated venues within Mexico Mexico City unless otherwise agreed in writing by both parties.
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice (factura) issued by the Musician in compliance with Mexican tax regulations (SAT). Payment will be made via bank transfer to the account specified on the invoice.
- The Musician warrants that all compositions, arrangements, and recordings delivered under this Purchase Order shall be original works free of any third-party intellectual property claims. Full copyright and licensing rights for the commissioned composition (Line Item 2) shall transfer to the Buyer upon full payment.
- The Musician shall comply with all applicable local, state, and federal laws of Mexico, including but not limited to labor regulations, tax obligations, and event permits required for public performances in Mexico Mexico City.
- In the event of cancellation by the Buyer, a cancellation fee of 50% of the total Purchase Order value shall apply if cancellation occurs fewer than seven (7) days before the scheduled performance date. Cancellation by the Musician without valid cause shall entitle the Buyer to a full refund of any advance payments made.
- The Musician shall maintain professional liability insurance with a minimum coverage of MXN $1,000,000 for the duration of all services rendered under this Purchase Order in Mexico Mexico City.
- All disputes arising from this Purchase Order shall be resolved through mediation in Mexico Mexico City in accordance with the Commercial Code of Mexico. The governing law shall be the federal and local laws of the State of Mexico and Mexico City.
- This Purchase Order constitutes the entire agreement between the parties regarding the services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both the Buyer and the Musician.
