Payment for this Purchase Order shall be made in Moroccan Dirhams (MAD) via bank transfer to the Musician's designated account. The payment schedule is as follows:
- 40% advance payment (MAD 44,112.00) due within 5 business days of the Musician's written acceptance of this Purchase Order.
- 40% interim payment (MAD 44,112.00) due upon completion of all rehearsal sessions and the media recording in Casablanca.
- 20% final payment (MAD 22,056.00) due within 10 business days following the final performance at the Grand Théâtre de Casablanca.
All payments are subject to the applicable 20% Moroccan TVA. Late payments shall incur a penalty of 1.5% per month as stipulated under Moroccan commercial code provisions.
- This Purchase Order is governed by the laws of the Kingdom of Morocco, specifically the Moroccan Commercial Code and the Code of Obligations and Contracts. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Casablanca, Morocco.
- The Musician warrants that all compositions, arrangements, and recorded material delivered under this Purchase Order shall be original works free from any intellectual property claims. The Musician grants Atlas Events a non-exclusive licence to use the recorded material for promotional purposes in Casablanca and throughout Morocco for a period of 24 months.
- The Musician shall comply with all local regulations of the Casablanca-Céuta region regarding public performances, noise ordinances, and venue-specific requirements. The Musician is responsible for obtaining any necessary performance permits from the relevant Moroccan authorities.
- In the event of force majeure (including but not limited to severe weather, government-mandated closures, or public health restrictions in Casablanca), either party may suspend obligations under this Purchase Order without penalty, provided written notice is given within 48 hours.
- The Musician shall maintain adequate professional liability insurance covering all performance activities in Casablanca, Morocco, with a minimum coverage of MAD 5,000,000.00.
- Any amendments to this Purchase Order must be made in writing and signed by both the Purchasing Party and the Musician. Verbal modifications shall not be binding.
- The Musician agrees to a non-compete clause for a period of 30 days following the final performance, refraining from performing at competing events within a 50-kilometre radius of Casablanca, Morocco.
- All communications regarding this Purchase Order shall be directed to the contact persons listed in Section 1. Official notices must be sent via registered mail or email with read receipt to the addresses specified above.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the Musician's services in Casablanca, Morocco. This document constitutes a binding commercial agreement effective from the date of the last signature.
