- Acceptance: This Purchase Order shall become binding upon written acceptance by the Musician, Daw Thiri Hlaing, within five (5) business days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- Performance Obligation: The Musician and the Yangon Heritage Music Collective shall perform at the designated venue in Myanmar Yangon on 28 June 2025, commencing at 19:00 and concluding no later than 22:00. The Musician shall ensure all ensemble members are present, prepared, and in professional attire appropriate for a cultural festival in Yangon.
- Rehearsal Requirement: Two full-day rehearsal sessions shall be conducted at the Yangon Heritage Music Studio located in Kyauktada Township, Yangon, on 25 and 26 June 2025. The Musician is responsible for coordinating all ensemble members for these sessions.
- Payment Terms: A deposit of fifty percent (50%) of the total Purchase Order amount, equivalent to 8,125,000 MMK, shall be paid within three (3) business days of acceptance. The remaining fifty percent (50%), equivalent to 8,125,000 MMK, shall be paid within seven (7) business days following the successful completion of the performance. All payments shall be made via bank transfer to the account designated by the Musician.
- Cancellation Policy: Cancellation of this Purchase Order by the Buyer more than fourteen (14) days prior to the performance date shall result in a refund of the deposit less a 10% administrative fee. Cancellation within fourteen (14) days shall forfeit the full deposit. Cancellation by the Musician under any circumstances shall require full refund of all monies received.
- Intellectual Property: All original compositions and arrangements created specifically for this event under this Purchase Order shall remain the property of the Musician. The Buyer is granted a non-exclusive, royalty-free license to record and distribute audio and video of the performance for promotional purposes within Myanmar Yangon and internationally.
- Compliance with Myanmar Law: All services rendered under this Purchase Order shall comply with the applicable laws and regulations of the Republic of the Union of Myanmar, including but not limited to the Entertainment Industry Act, tax obligations, and any permits required for public performances in Yangon.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Myanmar Yangon.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration in Yangon, Myanmar, in accordance with the Myanmar Arbitration Law.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary musical arrangements shared during the engagement period.
