- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, as applicable to the engagement of a Musician for public performance in New Zealand Auckland.
- Payment Terms: A 50% deposit (NZD 3,133.75 inclusive of GST) is due within 10 business days of acceptance of this Purchase Order. The remaining 50% balance (NZD 3,133.75) shall be paid within 14 business days following the successful completion of the Musician's performance on 22 August 2025. All payments shall be made via bank transfer to the Musician's nominated account in New Zealand Auckland.
- Performance Obligations: The Musician agrees to perform the services described in Section 2 in a professional and timely manner. The Musician warrants that all musical compositions performed are either original works or properly licensed, and that the Musician holds all necessary performing rights clearances required under New Zealand law.
- Cancellation Policy: Either party may cancel this Purchase Order with a minimum of 21 days' written notice. Cancellation within 21 days of the event date will incur a 50% penalty fee. Cancellation within 7 days will incur a 100% penalty fee. Force majeure events, including severe weather conditions affecting New Zealand Auckland, shall be exempt from penalty provisions.
- Insurance: The Musician shall maintain public liability insurance with a minimum cover of NZD 10,000,000 for the duration of the engagement in New Zealand Auckland. A certificate of insurance must be provided to the Buyer no later than 14 days prior to the event date.
- Intellectual Property: All recordings, photographs, and video footage captured during the Musician's performance and media session in New Zealand Auckland shall be the property of Auckland Harbour Events Ltd. The Musician grants a non-exclusive, perpetual licence for the use of their name and likeness in promotional materials related to the Auckland Harbour Festival.
- Health and Safety: The Musician shall comply with all health and safety requirements set by the event venue in New Zealand Auckland, including but not limited to the Health and Safety at Work Act 2015. The Musician must present a valid Working at Heights certificate if any elevated stage access is required.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through mediation in New Zealand Auckland. If mediation fails, disputes shall be referred to the District Court of Auckland, New Zealand.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary information exchanged during the engagement of the Musician in New Zealand Auckland.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Musician in New Zealand Auckland. This document constitutes a binding agreement upon execution by both the Buyer and the Supplier.
