- Scope of Engagement: This Purchase Order constitutes a binding agreement for the services of the Musician and supporting personnel as described in the line items above. The Musician agrees to perform at the Wellington Winter Music Festival 2025, held at Wellington Town Hall, Featherston Street, Wellington, New Zealand, on the date and time specified herein.
- Performance Standards: The Musician shall arrive at the venue no later than 16:00 NZST on the performance date for sound check and staging. All equipment brought by the Musician must comply with the venue's technical specifications and the Wellington Region's noise and safety regulations. The Musician is responsible for the condition and maintenance of all personal instruments and gear.
- Payment: Payment of the total amount of NZD 9,890.00 (inclusive of 15% New Zealand Goods and Services Tax) shall be made via electronic funds transfer (EFT) to the bank account nominated by the Musician within thirty (30) calendar days of receipt of a valid tax invoice. The invoice must reference this Purchase Order number (PO-WLG-2025-04871) and include the Musician's IRB number.
- Cancellation and Rescheduling: Should the event be cancelled by the Buyer due to force majeure, the Musician shall be compensated at 50% of the contracted fee. Cancellation by the Musician without valid medical or emergency grounds shall result in forfeiture of any advance payment and liability for reasonable re-engagement costs incurred by the Buyer in Wellington, New Zealand.
- Insurance and Liability: The Musician shall maintain public liability insurance with a minimum cover of NZD 10,000,000, valid throughout the performance period in New Zealand Wellington. The Musician indemnifies the Buyer against any claims arising from the Musician's negligence or breach of this Purchase Order.
- Intellectual Property: All original compositions performed by the Musician remain the intellectual property of the Musician. The Buyer is granted a non-exclusive licence to record and broadcast the performance for promotional purposes related to the Wellington Winter Music Festival, subject to prior written consent from the Musician.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, including the Consumer Guarantees Act 1993, the Fair Trading Act 1986, and the Copyright Act 1994. Any disputes shall be resolved in the District Court of Wellington, New Zealand.
- Health and Safety: The Musician and all supporting personnel must comply with the Health and Safety at Work Act 2015 (New Zealand) and the specific venue safety protocols of Wellington Town Hall. A valid New Zealand working visa or residency status is required for all personnel performing in New Zealand Wellington.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary performance materials exchanged during the engagement in New Zealand Wellington.
