This Purchase Order governs the engagement of the Musician for the Annual Corporate Gala to be held on August 15, 2025, at the Centro de Convenciones de Lima, San Isidro, Lima, Peru. The Musician shall be present at the venue no later than 14:00 hours (local time, Peru — UTC-5) on the day of the event. The live performance is scheduled to commence at 19:30 hours and shall not exceed 90 minutes in duration. All rehearsal and composition deliverables must be completed no later than August 1, 2025, as stipulated in the line items above.
- 50% Advance Payment: PEN 11,593.50 (inclusive of IGV) due within 5 business days of acceptance of this Purchase Order, payable via bank transfer to the account specified in Section 1.
- 50% Balance Payment: PEN 11,593.50 (inclusive of IGV) due within 10 business days following the successful completion of the event and delivery of all final recordings and compositions.
- All payments shall be made in Peruvian Soles (PEN) to the bank account of the Musician as listed. Late payments shall accrue interest at the rate established by the Superintendencia de Banca, Seguros y AFP (SBS) of Peru.
- The Musician is required to issue a formal Boleta de Venta or Factura through the SUNAT (Superintendencia Nacional de Aduanas y de Administración Tributaria) electronic invoicing system for each payment received.
- Scope of Work: The Musician agrees to perform, compose, rehearse, and deliver all services as described in Section 3 of this Purchase Order. Any additional requests beyond the scope herein shall require a written amendment signed by both parties.
- Intellectual Property: The original composition (Item 003) shall be jointly owned by the Musician and Andean Events & Productions S.A.C. The Musician retains the right to perform the piece at other venues, provided the company is credited as the commissioning entity.
- Cancellation Policy: Cancellation by the company more than 30 days before the event date shall result in forfeiture of the 50% advance. Cancellation within 30 days shall result in forfeiture of 100% of the total Purchase Order value. Cancellation by the Musician without cause shall require full refund of all monies received plus 15% penalty.
- Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the Ministry of Health of Peru.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Peru and the applicable commercial regulations of Lima. Any disputes shall be resolved through the competent courts of the Judicial District of Lima, Peru.
- Insurance: The Musician shall maintain personal liability insurance with a minimum coverage of PEN 100,000 for the duration of the engagement. Proof of insurance shall be provided upon request.
- Compliance: The Musician confirms that all services rendered under this Purchase Order comply with the labor regulations of Peru, including the Ley General del Trabajo (D.S. 003-97-TR) and applicable tax obligations before SUNAT.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the Musician engagement in Lima, Peru. This document constitutes a binding commercial agreement effective upon the last signature.
