3. Description of Purchase Order Scope

This Purchase Order is issued by Manila Grand Events & Productions, Inc. to formally engage the services of the above-named Musician for a series of corporate and cultural events scheduled to take place within the Philippines Manila metropolitan area. The Musician shall provide professional live musical performance, sound arrangement, and on-site audio coordination for the events detailed in Section 4 below. All services rendered under this Purchase Order shall comply with the labor standards and entertainment regulations established by the Department of Labor and Employment (DOLE) of the Republic of the Philippines and the local ordinances of the City of Manila and the National Capital Region (NCR).

5. Terms and Conditions of This Purchase Order

Acceptance: This Purchase Order shall become binding upon written acceptance by the Musician within five (5) business days from the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
Payment: Full payment of PHP 230,000.00 (Two Hundred Thirty Thousand Philippine Pesos) shall be remitted via bank transfer to the Musician's designated account within thirty (30) calendar days from the date of the final invoice, subject to satisfactory completion of all services listed herein.
Tax Compliance: The Musician shall issue a valid Official Receipt (OR) or Accredited Receipting Agent (ARA) receipt in accordance with the Bureau of Internal Revenue (BIR) regulations of the Philippines. Withholding tax at the applicable rate under Philippine tax law shall be deducted from the gross amount.
Performance Standards: The Musician agrees to arrive at each venue no later than two (2) hours prior to the scheduled start time. All musical instruments, personal equipment, and performance attire shall be the sole responsibility of the Musician unless otherwise specified in writing.
Cancellation Policy: Either party may cancel a specific event engagement with a minimum of seven (7) calendar days' written notice. Cancellation within seven (7) days shall incur a 50% fee of the scheduled event amount. Cancellation by the Buyer within 48 hours shall require full payment of the event fee.
Intellectual Property: All compositions, arrangements, and recordings created specifically for Manila Grand Events & Productions, Inc. under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Musician retains the right to perform pre-existing works under standard licensing.
Insurance & Liability: The Musician shall maintain valid personal accident and professional liability insurance throughout the duration of this Purchase Order. The Buyer shall provide venue-specific safety briefings and comply with all fire and crowd management regulations in the Philippines Manila area.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be resolved through mediation under the Philippine Alternative Dispute Resolution Act (R.A. 9285) before submission to the courts of the City of Manila, Philippines Manila.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, government orders, typhoons, or other events beyond reasonable control, provided that written notice is given within 24 hours of the occurrence.
