The Musician shall also be available for up to forty (40) hours of pre-production rehearsal and sound-check coordination per month as specified in the attached service schedule.

All services rendered under this Purchase Order shall be performed exclusively within the administrative boundaries of Russia Saint Petersburg, including but not limited to the historic center, the Vasilyevsky Island district, and the Krestovsky Island cultural complex. The Musician shall report to the designated venue no later than ninety (90) minutes prior to the scheduled performance time. All instrument storage, tuning, and maintenance facilities shall be provided by the Foundation at the venue in Russia Saint Petersburg. In the event of venue changes within Russia Saint Petersburg, the Foundation shall provide a minimum of seventy-two (72) hours written notice to the Musician and the vendor.

Payment for the services outlined in this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the account specified in Section 1. The payment schedule is as follows:

• Advance Payment (30%): 903,000 RUB — due within ten (10) business days of Purchase Order acceptance.
• Interim Payment (40%): 1,204,000 RUB — due upon completion of the first two (2) months of services.
• Final Payment (30%): 903,000 RUB — due within fifteen (15) business days following the final performance and submission of all required documentation.

All invoices must reference this Purchase Order number (PO-RSP-2025-04782) and shall be submitted to the Foundation's accounts payable department in Russia Saint Petersburg. Late payments shall incur a penalty of 0.1% per calendar day as stipulated under the Civil Code of the Russian Federation.

4. Any modifications, cancellations, or rescheduling of performances must be submitted in writing to the Foundation's procurement office in Russia Saint Petersburg no fewer than five (5) business days prior to the affected event.
5. The Musician grants the Foundation a non-exclusive license to record, broadcast, and distribute audio and video recordings of performances made under this Purchase Order for archival and promotional purposes.
6. Disputes arising from this Purchase Order shall be resolved through arbitration in Russia Saint Petersburg in accordance with the rules of the Arbitration Court of Saint Petersburg and Leningrad Oblast.
7. This Purchase Order is governed by the laws of the Russian Federation. All communications regarding this Purchase Order shall be conducted in Russian or English.
