1. Performance Location: All services under this Purchase Order shall be performed exclusively within the city of Jeddah, Saudi Arabia. The Musician acknowledges and agrees to comply with all local entertainment regulations, noise ordinances, and cultural guidelines applicable in Saudi Arabia Jeddah.
2. Entertainment License: The Musician shall hold a valid entertainment permit issued by the General Entertainment Authority (GEA) of Saudi Arabia. A certified copy of the permit shall be submitted to the Buyer no later than five (5) business days prior to the first performance date.
3. Payment Terms: A deposit of fifty percent (50%) of the total Purchase Order value, amounting to SAR 24,150.00, shall be remitted within seven (7) calendar days of the Buyer's written acceptance of this Purchase Order. The remaining fifty percent (50%) shall be paid within fourteen (14) calendar days following the successful completion of all scheduled performances.
4. Payment Method: All payments shall be made via bank transfer to the Musician's designated account at Al Rajhi Bank, Jeddah Branch, Saudi Arabia. The Buyer shall issue a VAT-compliant invoice in accordance with the ZATCA (Zakat, Tax and Customs Authority) regulations of Saudi Arabia.
5. Cancellation Policy: In the event of cancellation by the Buyer, a cancellation fee of twenty-five percent (25%) of the total Purchase Order value shall apply if cancellation occurs more than fourteen (14) days before the performance date, and fifty percent (50%) if cancellation occurs within fourteen (14) days. Cancellation by the Musician without valid cause shall entitle the Buyer to a full refund of any deposits already paid.
6. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or public health emergencies affecting the city of Jeddah, Saudi Arabia.
7. Intellectual Property: All original compositions performed by the Musician remain the intellectual property of the Musician. The Buyer is granted a non-exclusive, non-transferable license to record and broadcast the performances for promotional purposes related to the Jeddah Cultural Heritage Festival 2025 only.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising herefrom shall be resolved through the competent courts of Jeddah, Saudi Arabia, or through arbitration in accordance with the Saudi Center for Commercial Arbitration (SCCA) rules.
9. Confidentiality: Both parties agree to maintain strict confidentiality regarding the financial terms, performance details, and any proprietary information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this agreement for a period of two (2) years.
10. Compliance with Saudi Regulations: The Musician warrants that all performances shall strictly adhere to the cultural norms, dress codes, and entertainment regulations in force in Saudi Arabia Jeddah at the time of performance. Any violation of such regulations shall be the sole responsibility of the Musician and may result in immediate termination of this Purchase Order without penalty to the Buyer.
