The Musician is required to maintain professional conduct throughout the event and shall adhere to the dress code specified in the attached rider (Formular A). Payment for this Purchase Order shall be made in South African Rand (ZAR) via electronic funds transfer (EFT) to the Musician’s registered bank account in South Africa. A 50% deposit (ZAR 49,450.00) is due within 7 business days of acceptance of this Purchase Order. The remaining 50% balance (ZAR 49,450.00) shall be paid within 30 calendar days following the successful completion of the performance in Johannesburg, South Africa, and receipt of a valid tax invoice. Late payments shall attract interest at the rate of 10% per annum, calculated on a daily basis, in accordance with the South African National Credit Act and applicable commercial law. All payments are subject to the Buyer’s standard accounts payable processing in Johannesburg.

5.1 This Purchase Order is governed by the laws of the Republic of South Africa, and any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.

5.2 The Musician warrants that all musical compositions performed, including the custom arrangement, are original works or properly licensed, and that no intellectual property infringement shall occur during the performance in Johannesburg, South Africa.

5.3 The Musician shall carry valid public liability insurance with a minimum cover of ZAR 5,000,000.00 for the duration of the engagement in Johannesburg, South Africa. A certificate of insurance shall be provided to the Buyer prior to the event date.

5.4 In the event of cancellation by the Buyer, a cancellation fee of 75% of the total Purchase Order value shall apply if notice is given less than 14 days before the event. Cancellation by the Musician without valid medical or force majeure grounds shall result in a full refund of any deposit received.

5.5 The Musician shall comply with all applicable South African labour laws, health and safety regulations, and the South African Broadcasting Corporation (SABC) content guidelines where applicable to any recorded material produced during the event in Johannesburg, South Africa.

5.6 This Purchase Order does not create an employment relationship. The Musician is engaged as an independent contractor and is responsible for all personal income tax obligations in South Africa.
