Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Kingdom of Spain, specifically the Civil Code and the applicable regulations of the Community of Madrid. Any disputes shall be submitted to the competent courts of Madrid, Spain.
Performance Obligations: The Musician shall arrive at each designated venue in Madrid no later than sixty (60) minutes prior to the scheduled start time. The Musician is responsible for bringing all personal instruments, sheet music, and auxiliary equipment unless otherwise specified in writing by the Buyer.
Intellectual Property: All original compositions performed by the Musician during the engagement remain the sole intellectual property of the Musician. The Buyer is granted a limited, non-exclusive licence to record and distribute audio/video of the performances for internal corporate use only, subject to prior written consent from the Musician.
Cancellation Policy: Cancellation by the Buyer more than fourteen (14) calendar days before the performance date in Madrid shall incur no penalty. Cancellation between seven (7) and fourteen (14) days shall require payment of 50% of the applicable line-item amount. Cancellation fewer than seven (7) days prior shall require full payment of the affected line item.
Payment: Payment of the total amount of €4,961.00 (including 21% Spanish VAT) shall be made via bank transfer to the Musician’s designated account within thirty (30) calendar days of the final performance date. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
Insurance & Liability: The Musician shall maintain valid professional liability insurance covering performance activities within Madrid, Spain, with a minimum coverage of €1,000,000. The Buyer shall provide adequate stage access, seating, and climate-controlled environment at each venue.
Compliance with Local Regulations: The Musician acknowledges and agrees to comply with all municipal regulations of the Ayuntamiento de Madrid regarding public performance, noise levels, and temporary event permits. The Buyer shall be responsible for obtaining any necessary venue-specific authorisations.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to severe weather affecting outdoor venues in Madrid, government-mandated closures, or public health emergencies declared by the Spanish authorities.
Confidentiality: Both parties agree to maintain strict confidentiality regarding the financial terms of this Purchase Order and any proprietary event details discussed in connection with the Musician’s engagement in Madrid.
