- Governing Law: This Purchase Order and all associated services shall be governed by the laws of Switzerland, with the canton of Zurich as the primary jurisdiction. Any disputes arising from this Purchase Order shall be resolved by the courts of Switzerland Zurich or, at the mutual agreement of both parties, by arbitration under the Swiss Rules of Arbitration administered in Zurich.
- Payment: Payment of the full amount stated in this Purchase Order shall be made via bank transfer to the Musician's designated account (IBAN: CH93 0076 2011 6238 5295 7, BIC: POFICHBEXXX) within 30 calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory Swiss rate of 5% per annum as defined under Article 104 of the Swiss Code of Obligations.
- Performance Obligations: The Musician guarantees that all performances, rehearsals, and deliverables specified in this Purchase Order shall be executed in Switzerland Zurich on the dates and at the locations stated herein. The Musician shall ensure that all ensemble members hold valid work permits or are Swiss residents in compliance with the Swiss Federal Act on Foreign Nationals and Integration (FNI).
- Cancellation Policy: Cancellation by Alpine Cultural Events AG more than 30 days prior to the performance date shall result in a 15% cancellation fee. Cancellation between 30 and 7 days prior shall incur a 50% fee. Cancellation within 7 days of the performance date in Switzerland Zurich shall result in full payment of the Purchase Order total.
- Intellectual Property: All musical arrangements, recordings, and programme materials created specifically for this engagement in Switzerland Zurich shall be jointly owned by Alpine Cultural Events AG and the Musician. The Musician retains the right to use the recordings for personal portfolio and promotional purposes.
- Insurance and Liability: The Musician shall maintain professional liability insurance with a minimum coverage of CHF 1,000,000 for the duration of the engagement. The Musician shall be responsible for any damage to the venue or equipment caused by the ensemble during the performance in Switzerland Zurich.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health restrictions affecting the city of Zurich, Switzerland.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary musical material exchanged in connection with this engagement in Switzerland Zurich.
This Purchase Order constitutes a binding offer for the services described herein. Acceptance by the Musician shall be confirmed in writing (email or signed copy) within 10 business days of the date of issue. Failure to respond within this period shall be interpreted as acceptance under Swiss commercial practice.
