- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Musician upon signature by both parties. All services described herein shall be rendered in and around Tanzania Dar es Salaam unless otherwise specified in writing.
- The Musician shall comply with all applicable laws and regulations of the United Republic of Tanzania, including but not limited to the Tanzania Music Board Act, the Income Tax Act (Cap. 341), and the Value Added Tax Act (Cap. 338). The Musician shall maintain a valid professional license throughout the duration of this Purchase Order.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Musician. Payment shall be processed via bank transfer to the account designated by the Musician in Tanzania Dar es Salaam. Late payments shall attract interest at the rate of 2% per month as stipulated under Tanzanian commercial law.
- The Musician is responsible for providing all personal musical instruments, vocal equipment, and personal attire required for performances. The Purchasing Party shall provide stage equipment, sound systems, lighting, and a dedicated green room at each venue in Tanzania Dar es Salaam.
- Cancellation by the Purchasing Party with fewer than fourteen (14) days' notice shall result in a cancellation fee of 50% of the total Purchase Order value. Cancellation by the Musician without valid medical or force majeure justification shall result in a penalty of 25% of the total Purchase Order value.
- All intellectual property rights in recordings produced under Item 4 of this Purchase Order shall be jointly owned by the Purchasing Party and the Musician, with revenue sharing to be determined in a separate addendum.
- This Purchase Order is governed by the laws of the United Republic of Tanzania. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tanzania Dar es Salaam in accordance with the Arbitration Act (Cap. 20).
- The Musician shall maintain professional liability insurance with a minimum coverage of TZS 50,000,000 for the duration of all engagements covered by this Purchase Order.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Musician in Tanzania Dar es Salaam.
