- Acceptance: This Purchase Order shall become effective upon written acceptance by the Musician. The Musician must sign and return a copy of this Purchase Order to Siam Grand Events Co., Ltd. within five (5) business days of the date of issue.
- Performance Date: The Musician shall perform at the Royal Paragon Grand Ballroom, Thailand Bangkok, on 28 June 2025, commencing at 19:00 ICT. The Musician must arrive at the venue no later than 16:00 ICT on the performance day.
- Payment: Payment of the total amount stated in this Purchase Order shall be made via bank transfer to the Musician's designated account within thirty (30) calendar days from the date of successful completion of all services. The Buyer shall issue a VAT invoice upon receipt of the completed service report.
- Cancellation: Either party may cancel this Purchase Order with a minimum of fourteen (14) days' written notice. In the event of cancellation by the Buyer after the 14-day window, the Musician shall be entitled to 50% of the total Purchase Order value as a cancellation fee.
- Intellectual Property: All compositions and arrangements created by the Musician specifically for this Purchase Order shall remain the intellectual property of the Musician, subject to the licensing terms outlined in Line Item 06. The Musician grants Siam Grand Events Co., Ltd. a non-exclusive, non-transferable license for promotional use within Thailand Bangkok and online platforms for the duration specified.
- Compliance: The Musician warrants that all performances under this Purchase Order shall comply with the Entertainment Law of Thailand (B.E. 2551) and all applicable regulations of the Bangkok Metropolitan Administration. The Musician shall hold all necessary performance permits and licenses valid for the duration of the engagement in Thailand Bangkok.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Thailand Bangkok.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through the courts of competent jurisdiction in Bangkok, Thailand.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms of this Purchase Order and any proprietary musical compositions shared during the course of this engagement in Thailand Bangkok.
