The Musician shall perform traditional Emirati and classical compositions across multiple venues within the United Arab Emirates Abu Dhabi emirate, including the Emirates Palace Grand Ballroom, the Louvre Abu Dhabi Amphitheatre, and the Saadiyat Island Cultural Promenade.

The Musician is required to deliver a minimum of six (6) live performance sets, each lasting no less than ninety (90) minutes, spanning the festival period from 22 August 2025 to 28 August 2025. The engagement includes rehearsal time, sound-check coordination, and post-performance audience interaction sessions as specified in the attached Service Level Agreement (SLA-AD-2025-112).

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific regulations of the Abu Dhabi emirate. Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Centre for Amicable Settlement of Disputes.
2. Performance Standards: The Musician and ensemble shall adhere to the artistic standards and cultural sensitivities prescribed by the Abu Dhabi Department of Culture and Tourism. All compositions performed must be pre-approved by the Buyer's Artistic Advisory Committee no later than 14 days prior to the festival commencement.
3. Payment Schedule: A 40% advance payment (AED 74,550.00) shall be remitted within ten (10) business days of the Buyer's written acceptance of this Purchase Order. The remaining 60% (AED 111,825.00) shall be paid within thirty (30) calendar days following the successful completion of all six performance sets and submission of a final performance report.
4. Cancellation Policy: Either party may cancel this Purchase Order with a minimum of twenty-one (21) days' written notice. Cancellation within fourteen (14) days of the performance date shall incur a penalty of 50% of the total Purchase Order value. Cancellation within seven (7) days shall incur a penalty of 100% of the total Purchase Order value.
5. Insurance and Liability: The Supplier shall maintain comprehensive public liability insurance with a minimum coverage of AED 5,000,000 for the duration of the engagement in United Arab Emirates Abu Dhabi. The Musician and all ensemble members shall be covered under the Supplier's professional indemnity policy.
6. Intellectual Property: All original compositions created under this Purchase Order, including the custom opening ceremony piece, shall be jointly owned by the Buyer and the Musician. The Buyer retains the right to archive, broadcast, and distribute recordings of all performances for cultural and promotional purposes within the United Arab Emirates.
7. Compliance: The Supplier warrants that the Musician holds a valid UAE work permit and that all ensemble members possess the necessary residency or visa documentation to perform legally in Abu Dhabi, United Arab Emirates.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or public health emergencies as declared by the UAE Federal Authority.

This Purchase Order constitutes a binding commitment upon written acceptance by both parties. The Supplier acknowledges receipt of this Purchase Order and confirms that all terms, conditions, and service specifications outlined herein are acceptable.
