This Purchase Order is issued by Blackbrook Cultural Events Ltd. to engage the services of a professional Musician, Mr. James Thornton, for the provision of live musical performance, sound engineering, and related production services at the Birmingham International Arts Festival 2025, to be held at the NEC Arena, National Exhibition Centre, Birmingham, United Kingdom. 5.1 This Purchase Order constitutes a binding agreement between Blackbrook Cultural Events Ltd. (hereinafter "the Buyer") and Mr. James Thornton, professional Musician (hereinafter "the Supplier"), for the provision of musical performance and related technical services in Birmingham, United Kingdom.
5.2 The Musician shall arrive at the NEC Arena, Birmingham, no later than 14:00 hours on 22 August 2025 for the scheduled rehearsal and soundcheck. The main performance is scheduled to commence at 19:30 hours.
5.3 The Musician warrants that all instruments, equipment, and audio materials provided shall be in professional working condition and shall comply with all applicable health and safety regulations in the United Kingdom, including those enforced by the Birmingham City Council and the NEC venue management.
5.4 Payment of the total amount of £5,142.00 (inclusive of VAT) shall be made via BACS bank transfer to the Supplier's nominated account within thirty (30) calendar days of the date of this Purchase Order, or upon receipt of a valid VAT invoice, whichever is later.
5.5 In the event of cancellation by the Buyer, the Musician shall be entitled to 50% of the total Purchase Order value if cancellation occurs more than fourteen (14) days prior to the event date, and 100% of the total value if cancellation occurs within fourteen (14) days of the event date.
5.6 The Musician grants the Buyer a non-exclusive, royalty-free licence to use audio and video recordings of the performance for promotional, archival, and educational purposes within the United Kingdom, specifically for the Birmingham International Arts Festival 2025.
5.7 This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
5.8 The Musician shall carry adequate public liability insurance (minimum £5,000,000) for the duration of the engagement in Birmingham and shall provide a certificate of insurance to the Buyer no later than seven (7) days prior to the event.
