- Acceptance: This Purchase Order constitutes a formal offer to engage the named Musician for the services described herein. The Musician shall confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
- Performance Standards: The Musician shall perform to a professional standard consistent with their qualifications and prior engagements in United Kingdom London. All performances must adhere to the programme and timing specifications agreed upon in the attached rider document (Ref: Rider-PO-LON-2025-04871).
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Musician. Invoices must reference this Purchase Order number (PO-LON-2025-04871) and include the supplier's VAT registration number. Payment shall be made via BACS transfer to the bank account specified in Section 1.
- Cancellation Policy: Either party may cancel this Purchase Order with a minimum of fourteen (14) days' written notice prior to the first scheduled performance date. Cancellation within fourteen days shall incur a fee of 50% of the total Purchase Order value. Cancellation within seven (7) days shall incur a fee of 100% of the total Purchase Order value.
- Insurance and Liability: The Musician shall maintain valid public liability insurance of no less than £5,000,000 for the duration of all engagements in United Kingdom London. A certificate of insurance shall be provided prior to the first performance date.
- Intellectual Property: All musical compositions performed under this Purchase Order remain the property of their respective copyright holders. The Musician shall ensure that all necessary performance licences (including PRS for Music and PPL licences) are in place for all events held in London, United Kingdom.
- Compliance: The Musician shall comply with all applicable laws and regulations of the United Kingdom, including but not limited to the Equality Act 2010, the Health and Safety at Work etc. Act 1974, and any local bylaws pertaining to live music performances in the City of London and the wider London area.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond their reasonable control, including but not limited to acts of God, government restrictions, or public health emergencies affecting the United Kingdom London area.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms contained within this Purchase Order and shall not disclose such terms to any third party without prior written consent, except as required by law or regulatory authority in the United Kingdom.
