The Musician engagement includes but is not limited to live performance at the Manchester Arena, studio recording sessions at the Northern Sound Studios on Oxford Road, and community outreach performances at the Manchester Central Library. The Musician is expected to demonstrate professional proficiency in jazz, classical, and contemporary genres, and must hold valid performance rights clearance through the relevant United Kingdom performing rights organisations.

All Musician performances and sessions under this Purchase Order shall take place at the following venues located in United Kingdom Manchester:

• Manchester Arena, Victoria Station Approach, Manchester M3 4AR — 22 June 2025, 18:00–21:00 BST
• Northern Sound Studios, 34 Oxford Road, Manchester M1 5FW — 25 June 2025, 09:00–17:00 BST
• Manchester Central Library, St Peter's Square, Manchester M2 5DB — 28 June 2025 and 30 June 2025, 14:00–16:00 BST

The Musician is required to arrive at each venue no later than ninety (90) minutes prior to the scheduled performance or session start time. All travel within the United Kingdom Manchester city centre is to be arranged by the Supplier unless otherwise specified in this Purchase Order.

Payment for this Purchase Order shall be made in accordance with the following schedule:

1. A deposit of fifty percent (50%) of the Grand Total, amounting to £5,358.00, shall be paid within fourteen (14) calendar days of the acceptance of this Purchase Order by the Supplier.
2. The remaining balance of fifty percent (50%), amounting to £5,358.00, shall be paid within thirty (30) calendar days following the successful completion of all Musician services as outlined in Section 4.
3. All payments shall be made via bank transfer to the Supplier's designated United Kingdom bank account. The Supplier shall provide a valid VAT invoice referencing this Purchase Order number (PO-2025-MAN-04872) prior to each payment.
4. Late payments shall incur interest at a rate of 4% above the Bank of England base rate, calculated on a daily basis, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom Manchester jurisdiction.

1. This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, applicable within the United Kingdom Manchester region.
2. The Musician shall maintain valid public liability insurance with a minimum cover of £5,000,000 for the duration of all engagements under this Purchase Order.
3. The Supplier warrants that the Musician engaged shall be a professional of recognised standing, free from any contractual obligations that would conflict with the performance dates specified herein.
4. Any cancellation by the Buyer of a Musician performance scheduled in United Kingdom Manchester must be communicated in writing no fewer than seven (7) calendar days prior to the event date. Cancellations within seven days shall be subject to a penalty of fifty percent (50%) of the applicable line item value.
5. The Musician shall comply with all health and safety regulations as enforced by the Health and Safety Executive (HSE) for events held in the United Kingdom Manchester area.
6. All intellectual property rights in compositions performed by the Musician remain with the original copyright holders. The Buyer is granted a non-exclusive licence to record and distribute audio from the Manchester Arena performance for promotional purposes only.
7. Disputes arising from this Purchase Order shall be resolved through mediation in Manchester, United Kingdom, before any litigation is commenced in the courts of United Kingdom Manchester.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Musician services in United Kingdom Manchester.
