4.1 Acceptance: This Purchase Order shall become effective upon written or electronic acceptance by the Musician. The Musician must confirm acceptance in writing no later than June 20, 2025. Failure to confirm within this window shall render this Purchase Order null and void.
4.2 Performance Standards: The Musician agrees to perform in a professional, punctual, and courteous manner befitting a high-end corporate event in the United States Miami area. The Musician shall arrive no later than 4:30 PM on the performance date for sound check and rehearsal. The Musician warrants that all musical content performed shall be either original compositions or properly licensed material, free from any intellectual property infringement claims.
4.3 Payment: The Buyer shall remit payment of the total Purchase Order amount of $4,859.00 within thirty (30) calendar days of the performance date via ACH transfer to the bank account designated by the Musician. A 10% late payment penalty shall apply to any amount not received within the stipulated period.
4.4 Cancellation Policy: The Buyer may cancel this Purchase Order without penalty up to fourteen (14) days prior to the performance date. Cancellations between seven (7) and fourteen (14) days prior shall incur a 25% fee of the total Purchase Order amount. Cancellations within seven (7) days shall incur a 50% fee. The Musician may cancel with a full refund of any deposits received, provided written notice is given at least fourteen (14) days in advance.
4.5 Insurance and Liability: The Musician shall maintain general liability insurance with a minimum coverage of $1,000,000 per occurrence for the duration of the engagement. The Musician shall be responsible for any damage to venue equipment caused by the Musician's actions or negligence during the performance in the United States Miami venue.
4.6 Confidentiality: The Musician acknowledges that the event details, guest list, and any proprietary corporate information disclosed during the consultation process are confidential. The Musician shall not disclose, record, or distribute any such information without prior written consent from the Buyer.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Miami, Florida, United States.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by acts of God, natural disasters (including hurricanes common to the United States Miami region), government orders, or other events beyond the reasonable control of the affected party.
Note 1: The Musician is requested to wear formal black attire (tuxedo or equivalent) for the gala performance. The venue will provide a grand piano (Steinway Model B) and a professional vocal microphone setup. The Musician is welcome to bring a personal keyboard for the sound check portion.
Note 2: A dedicated green room will be available to the Musician from 4:00 PM until the conclusion of the event. Complimentary catering will be provided in the green room.
