Payment for this Purchase Order shall be made via ACH bank transfer or certified check to the Musician's designated account. A deposit of fifty percent (50%) of the Purchase Order total, amounting to $3,737.25, is due upon execution of this Purchase Order. The remaining balance of $3,737.25 shall be due and payable within fifteen (15) calendar days following the completion of the performance and delivery of all post-event recordings. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law. All payments are subject to the terms outlined in this Purchase Order and applicable tax regulations of the United States New York City and the State of New York.
The Musician shall perform on Saturday, July 19, 2025, at The Plaza Hotel Ballroom, 768 5th Avenue, New York, NY 10019, United States New York City. The Musician is required to arrive no later than 4:30 PM for sound check and setup. The main performance is scheduled from 7:00 PM to 9:00 PM, followed by the string quartet reception set from 9:15 PM to 10:45 PM. The Musician shall coordinate directly with the Buyer's event coordinator, Daniel Reeves, on-site for all scheduling and technical matters.
(a) This Purchase Order constitutes the entire agreement between the Buyer and the Musician regarding the services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral. (b) The Musician warrants that all musical compositions performed are either original works or properly licensed, and the Musician shall indemnify the Buyer against any claims of intellectual property infringement. (c) The Musician shall maintain adequate professional liability insurance with a minimum coverage of $1,000,000 per occurrence, naming the Buyer as an additional insured. (d) Cancellation by the Buyer more than fourteen (14) days prior to the event shall result in forfeiture of the deposit only. Cancellation within fourteen (14) days shall require payment of seventy-five percent (75%) of the Purchase Order total. (e) In the event of force majeure, including but not limited to severe weather, public health emergencies, or municipal restrictions within United States New York City, either party may reschedule the performance without penalty, provided written notice is given within forty-eight (48) hours. (f) This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, and any disputes shall be resolved in the state or federal courts located in New York County, United States New York City.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Musician confirms availability for the specified date and agrees to perform all services as described in the line items above.
