  1. Acceptance: By signing below, the Musician accepts this Purchase Order in full. Any modifications to scope, schedule, or compensation must be documented in a written amendment to this Purchase Order, signed by both parties, and filed with the Buyer's procurement records in San Francisco.
  2. Payment: Payment shall be made via ACH transfer to the bank account specified above within thirty (30) calendar days of the Buyer's receipt of a valid invoice from the Musician. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with California Commercial Code Section 2310.
  3. Performance Standards: The Musician warrants that all services rendered under this Purchase Order shall be performed in a professional, workmanlike manner consistent with industry standards for live performance in the San Francisco, United States, music industry. The Musician shall arrive at all scheduled events and rehearsals no later than 45 minutes prior to the start time.
  4. Intellectual Property: All original compositions, sheet music, and audio recordings created specifically for this engagement under this Purchase Order shall become the sole property of Golden Gate Events & Productions, LLC upon full and final payment. The Musician retains the right to perform the commissioned work at personal recitals, provided the Buyer is credited as the original commissioner.
  5. Insurance and Liability: The Musician shall maintain general liability insurance with a minimum coverage of $1,000,000 per occurrence for the duration of this Purchase Order. A certificate of insurance naming the Buyer as an additional insured shall be provided prior to the first rehearsal date. The Musician shall comply with all San Francisco Municipal Code provisions regarding noise, occupancy, and public assembly for live performance venues.
  6. Cancellation: Either party may cancel this Purchase Order with a minimum of fourteen (14) calendar days' written notice. Cancellation by the Buyer after the rehearsal period has commenced shall result in a 50% fee for services already rendered. Cancellation by the Musician without cause shall require full refund of any advance payments received.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, and the municipal ordinances of the City and County of San Francisco. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in San Francisco, CA, in accordance with the rules of the American Arbitration Association.
  8. Compliance: The Musician represents and warrants that all services provided under this Purchase Order comply with applicable United States federal tax law, California state tax law, and San Francisco local regulations. The Musician is responsible for reporting all income received under this Purchase Order to the Internal Revenue Service and the California Franchise Tax Board.
