- Performance Location: All services under this Purchase Order shall be performed exclusively at the Grand Saigon Hotel, 126 Nguyen Hue Street, District 1, Ho Chi Minh City, Vietnam. The Musician is responsible for arriving at the venue no later than 18:00 local time on 22 June 2025.
- Musician Obligations: The Musician shall deliver a professional, high-quality live performance in accordance with the agreed set lists. The Musician must hold a valid performance permit issued by the Ho Chi Minh City Department of Culture, Sports and Tourism, and shall present this permit to the Buyer's event coordinator prior to the sound check.
- Payment Terms: A 50% advance payment (23,925,000 VND) shall be transferred to the Musician's registered bank account within five (5) business days of this Purchase Order's acceptance. The remaining 50% (23,925,000 VND) shall be paid within ten (10) business days following the successful completion of the event in Ho Chi Minh City.
- Cancellation Policy: Should the Buyer need to cancel this Purchase Order, a written notice must be provided to the Musician no fewer than seven (7) calendar days before the event date. Cancellations within seven days will incur a 50% fee of the total Purchase Order value. Cancellations within 48 hours will incur the full Purchase Order amount.
- Musician Cancellation: In the event the Musician is unable to perform due to illness or force majeure, the Musician must notify the Buyer immediately and, where possible, propose a qualified substitute Musician acceptable to the Buyer. No penalty shall apply in cases of documented force majeure.
- Intellectual Property: The Musician retains all rights to original compositions performed. The Buyer is granted a one-time, non-transferable license to record the live performance for internal corporate use only, within Ho Chi Minh City and Vietnam.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code and the Law on Commercial Enterprises. Any disputes shall be resolved by the People's Court of District 1, Ho Chi Minh City.
- Compliance: The Musician warrants that all services provided comply with the Entertainment Law of Vietnam and local regulations of Ho Chi Minh City. The Musician shall not perform any content that violates Vietnamese public order or morality.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Musician in Ho Chi Minh City, Vietnam. This document constitutes a binding agreement between the Buyer and the Musician upon execution by both authorized representatives.
