This Purchase Order is issued to formally engage a professional Musician for live performance services at the annual Chimanimani Corporate Gala to be held in Zimbabwe Harare. The Musician shall provide all necessary musical instruments, sound equipment, and performance attire as specified below. The engagement is governed by the terms and conditions of this Purchase Order and applicable Zimbabwean labour and entertainment regulations.

The Musician and accompanying performers shall arrive at the Harare International Convention Centre no later than 14:00 hours on 28 June 2025 for sound check and setup. The live performance shall commence at 18:30 and conclude by 21:30, comprising three (3) sets of approximately one hour each with fifteen-minute intervals. The Musician shall perform a repertoire of contemporary African music, Zimbabwean traditional compositions, and international popular songs as agreed upon during the rehearsal session. All musical instruments, amplification equipment, and performance accessories shall be the sole responsibility of the Musician and his team. The Musician shall comply with all venue safety regulations and the Zimbabwe National Arts Council performance licensing requirements applicable in Zimbabwe Harare.

This Purchase Order constitutes a binding agreement between Chimanimani Events & Entertainment Co. (Pvt) Ltd and the named Musician service provider upon written acceptance and signature by both parties.
Payment shall be made via bank transfer to the account designated by the Musician. A 50% advance payment of USD 2,478.25 shall be released within five (5) business days of Purchase Order acceptance. The remaining 50% balance of USD 2,478.25 shall be paid within fourteen (14) calendar days following satisfactory completion of the performance in Zimbabwe Harare.
The Musician shall provide a valid Zimbabwe National Arts Council performance permit and a current tax clearance certificate from the Zimbabwe Revenue Authority (ZIMRA) prior to the event date.
In the event of cancellation by the Buyer, the Musician shall be compensated for 75% of the total Purchase Order value if cancellation occurs more than seven (7) days before the event, and 100% if cancellation occurs within seven (7) days.
In the event of cancellation by the Musician without valid medical or force majeure justification, the Musician shall refund all advance payments received within seven (7) business days and shall be liable for any additional costs incurred by the Buyer in securing a replacement performer.
All intellectual property rights in the custom song arrangements (Line Item 6) shall be jointly owned by the Buyer and the Musician, with the Buyer retaining the right to use the compositions for corporate and promotional purposes within Zimbabwe.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Zimbabwe Harare.
The Musician shall maintain adequate public liability insurance coverage of not less than USD 500,000 for the duration of the engagement in Zimbabwe Harare.
Force majeure events, including but not limited to government-imposed restrictions, natural disasters, or public health emergencies affecting Zimbabwe Harare, shall relieve both parties of performance obligations without penalty, provided written notice is given within 48 hours of the event's occurrence.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Musician in Zimbabwe Harare.
