Terms & Conditions – Purchase Order PO-BA-2025-04872
- Scope of Services: This Purchase Order authorizes MediNurse Argentina S.R.L. to supply qualified Nurse professionals and associated clinical equipment to Clínica San Martín S.A., located in Buenos Aires, Argentina. All Nurse personnel must be fully licensed and in good standing with the relevant Argentine professional registry.
- Delivery & Onboarding: All Nurse staff must report to the Buenos Aires facility no later than July 1, 2025, at 08:00 hours. The vendor is responsible for transportation logistics within the Buenos Aires metropolitan area and must provide a minimum of 48 hours' written notice for any scheduling changes.
- Quality Assurance: The Nurse team shall adhere to all clinical protocols established by Clínica San Martín S.A. and comply with the Argentine National Health Ministry (Ministerio de Salud de la Nación) regulations as well as Buenos Aires City health authority directives. Quarterly performance reviews will be conducted by the requesting manager.
- Payment Schedule: Monthly invoices for Nurse staffing (Items 01 and 02) shall be submitted by the 5th business day of the following month. One-time procurement items (Items 03, 04, 06) are payable within 30 days of delivery confirmation. Annual training fees (Item 05) are payable in quarterly installments. All payments shall be made via bank transfer to the vendor's account in Argentina Buenos Aires.
- Substitution Clause: The vendor may not substitute any assigned Nurse without prior written approval from the Buyer. Any replacement Nurse must meet or exceed the qualifications specified in this Purchase Order and must complete a minimum 5-day orientation period in Buenos Aires before assuming full duties.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the vendor must ensure a minimum 15-day transition period to maintain continuity of Nurse care for all inpatients in Buenos Aires.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Argentine Republic, with jurisdiction vested in the commercial courts of Buenos Aires, Argentina. Any disputes shall first be subject to mediation before proceeding to litigation.
- Confidentiality: All Nurse personnel engaged under this Purchase Order must sign a non-disclosure agreement in compliance with Argentine data protection law (Ley 25.326) before accessing any patient records or clinical information within the Buenos Aires facility.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to public health emergencies affecting Buenos Aires, Argentina, natural disasters, or government-mandated closures.
