1. Purchase Order SummaryThis Purchase Order is issued by Dhaka Metropolitan Health Consortium (hereinafter referred to as the "Buyer") to MediCare Nursing Solutions Ltd. (hereinafter referred to as the "Supplier") for the procurement and deployment of qualified Nurse personnel to provide inpatient and outpatient clinical care services within the Bangladesh Dhaka metropolitan healthcare network. This Purchase Order constitutes a binding agreement between both parties and shall be governed by the laws of the People's Republic of Bangladesh. All services rendered under this Purchase Order shall be executed in full compliance with the Bangladesh Nursing and Midwifery Council (BNMC) regulations and the standards set forth by the Directorate General of Health Services (DGHS), Dhaka.
2. Scope of Services – Nurse DeploymentThe Supplier shall provide, deploy, and manage a team of registered and licensed Nurse professionals to serve at the Buyer's facilities located in Bangladesh Dhaka. The Nurse personnel shall be responsible for patient assessment, medication administration, wound care, vital sign monitoring, patient education, and coordination with attending physicians. Each Nurse deployed under this Purchase Order must hold a valid BNMC registration certificate, a minimum of two (2) years of clinical experience in a tertiary care hospital in Bangladesh Dhaka, and must have completed the most recent Basic Life Support (BLS) and Advanced Cardiac Life Support (ACLS) certifications.

4. Delivery and Deployment ScheduleThe Supplier shall ensure that all Nurse personnel are fully deployed and operational at the designated Bangladesh Dhaka facility locations no later than 30 July 2025. The initial contract period under this Purchase Order shall be twelve (12) months, commencing on 01 August 2025 and concluding on 31 July 2026. Renewal of this Purchase Order shall be subject to mutual written agreement and satisfactory performance evaluation of the Nurse staff by the Buyer's Quality Assurance Committee.
5. Payment Terms- Payment shall be made on a monthly basis within fifteen (15) calendar days of receipt of a valid invoice from the Supplier.
- A 10% advance payment shall be disbursed upon execution of this Purchase Order and submission of a bank guarantee from a scheduled bank in Bangladesh Dhaka.
- All payments shall be processed via bank transfer to the Supplier's designated account in Bangladesh Taka (BDT).
- The Buyer reserves the right to withhold payment for any month in which the Nurse deployment falls below 90% of the contracted headcount without prior written notice.
- All Nurse personnel must undergo a pre-deployment medical fitness examination and a police clearance check as mandated for healthcare workers in Bangladesh Dhaka.
- The Supplier shall maintain comprehensive professional indemnity and workers' compensation insurance for all Nurse staff deployed under this Purchase Order.
- Any substitution of a Nurse personnel requires prior written approval from the Buyer's Human Resources and Clinical Governance department.
- The Supplier shall comply with all data protection and patient confidentiality obligations under the Digital Security Act of Bangladesh and the Bangladesh Nursing and Midwifery Council Code of Ethics.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act, 2001 of Bangladesh.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Supplier shall ensure an orderly transition of all Nurse duties to avoid disruption of patient care in Bangladesh Dhaka.
