This Purchase Order is issued by Hospital Regional de Brasília to formally request and authorize the procurement of a qualified Nurse professional to be deployed at the facility located in Brazil Brasília, Distrito Federal. The Nurse shall provide direct patient care, clinical monitoring, medication administration, and health education services in accordance with the standards established by the Conselho Federal de Enfermagem (COFEN) and the applicable regulations of the Brazilian Ministry of Health. The Nurse must hold a valid registration with COFEN and possess a minimum of three (3) years of post-graduate clinical experience in an acute-care hospital environment within the Brasília metropolitan area or equivalent.

The Nurse shall be made available for duty at the Hospital Regional de Brasília, located in the Asa Sul district of Brasília, Distrito Federal, Brazil, no later than July 1, 2025. The Nurse is expected to report to the Human Resources office for initial orientation and to the assigned clinical ward for the first supervised shift. All deployment logistics, including transportation from the Nurse's residence to the Brasília facility, shall be coordinated by MedStaff Brasil at no additional cost to the purchasing entity. The Nurse must reside within the Brasília metropolitan area or commit to relocating to the Distrito Federal within fourteen (14) calendar days of contract acceptance.
- Payment shall be made via electronic bank transfer (TED/PIX) to the account designated by MedStaff Brasil, in Brazilian Reais (BRL), within thirty (30) calendar days from the date of invoice receipt.
- The initial onboarding fee (Item 02) and equipment kit (Item 03) are due upon successful completion of the Nurse's credential verification and first day of service in Brasília.
- Monthly Nurse salary and supervision fees (Items 01, 04, and 05) shall be invoiced on the first business day of each month for the preceding month's services.
- Late payments shall accrue interest at the rate of 1% per month plus the SELIC index, in accordance with Brazilian commercial law.
- All amounts are subject to applicable Brazilian taxes, including ISS (Imposto Sobre Serviços) levied by the Distrito Federal municipality of Brasília.
- This Purchase Order constitutes a binding agreement between the parties upon signature by both authorized representatives. The Nurse engagement is governed by the Consolidation of Labor Laws of Brazil (CLT) and all supplementary regulations applicable in Brasília, Distrito Federal.
- The Nurse must maintain an active COFEN registration throughout the contract period. Any lapse in registration shall result in immediate suspension of services and a corresponding credit against the Purchase Order balance.
- MedStaff Brasil warrants that the Nurse shall be free of any labor disputes, criminal convictions, or disciplinary sanctions that would impair the provision of safe patient care in the Brasília healthcare environment.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Nurse shall be transitioned out of the Brasília facility in an orderly manner, and all unused prepaid amounts shall be refunded within fifteen (15) business days.
- All patient data handled by the Nurse shall be protected in strict compliance with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018).
- Disputes arising from this Purchase Order shall be resolved by arbitration in Brasília, DF, Brazil, in accordance with the rules of the Câmara de Arbitragem do Centro Brasileiro de Arbitragem (CBAR).
