- Scope of Services: The Supplier shall provide all Nurse personnel as specified in this Purchase Order. Each Nurse shall hold a valid practicing license issued by the National Health Commission of the People's Republic of China and shall maintain all required certifications throughout the contract period in China Guangzhou.
- Delivery and Deployment: All Nurse personnel shall report to their assigned facilities in China Guangzhou no later than 1 August 2025. The Supplier is responsible for arranging transportation, temporary accommodation, and initial relocation logistics for each Nurse assigned under this Purchase Order.
- Payment Schedule: Payment shall be made in quarterly installments within thirty (30) days of invoice submission. The first installment of 25% shall be due upon successful onboarding of all Nurse personnel. Subsequent quarterly payments of 25% each shall be due upon satisfactory performance review. The final payment of 25% shall be due upon completion of the 12-month contract term.
- Performance Standards: Each Nurse shall adhere to the clinical protocols and quality standards established by the Guangzhou Municipal Health Bureau. The Supplier shall conduct monthly performance evaluations and submit written reports to the Buyer. Any Nurse who fails to meet the established competency benchmarks shall be replaced within fourteen (14) calendar days at no additional cost to the Buyer.
- Regulatory Compliance: All services rendered under this Purchase Order shall comply with the Healthcare Personnel Regulations of the People's Republic of China, the Guangdong Provincial Nursing Practice Standards, and all applicable municipal ordinances in China Guangzhou. The Supplier warrants that all Nurse personnel are free from any disciplinary actions or malpractice claims.
- Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance, workers' compensation coverage, and medical insurance for all Nurse personnel engaged under this Purchase Order throughout the duration of the contract in China Guangzhou.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall be liable for services rendered up to the termination date. The Supplier shall ensure an orderly transition of all Nurse personnel to avoid disruption of patient care in China Guangzhou.
- Confidentiality: All Nurse personnel shall sign a non-disclosure agreement in accordance with China's Personal Information Protection Law. Patient records and operational data pertaining to facilities in China Guangzhou shall remain strictly confidential.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
