- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Republic of Colombia, including the Código de Comercio and applicable regulations of the Superintendencia de Industria y Comercio (SIC) in Bogotá.
- Service Location: All nursing services shall be rendered exclusively at the buyer's facility in Bogotá D.C., Colombia. The Nurse shall report to the designated clinical unit as directed by the Head Nurse of the department.
- Qualification Requirements: The Nurse assigned under this Purchase Order must present a valid professional registration (cédula profesional) with the Colombian Ministry of Health, a current BLS/ACLS certification, and a clean criminal background check (certificado de antecedentes penales) issued by the Fiscalía General de la Nación.
- Payment Terms: Payment shall be made monthly within 15 calendar days of receipt of the supplier's invoice (factura electrónica) issued in compliance with the DIAN (Dirección de Impuestos y Aduanas Nacionales) electronic invoicing regulations. Payment shall be via bank transfer to the supplier's account in a Colombian financial institution.

- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent labor courts of Bogotá D.C., Colombia, in accordance with the Código General del Proceso.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to public health emergencies declared by the Colombian government affecting operations in Bogotá.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the procurement of Nurse services in Bogotá, Colombia. This document constitutes a binding agreement effective from the date of the last signature.
