Terms and Conditions
  1. Scope of Purchase Order: This Purchase Order governs the recruitment, placement, and first-year employment of a qualified Nurse at MedCare Berlin GmbH's facility located in Germany Berlin. All services described herein shall be performed in accordance with applicable German federal and state (Land) regulations, including the Pflegeberufegesetz (PflegeBG) and the relevant Landeskrankenhausgesetz for Berlin.
  2. Nurse Qualification Requirements: The Nurse to be placed under this Purchase Order must hold a recognized nursing qualification (Pflegefachfrau/Pflegefachmann or equivalent), possess a valid Approbation or be in the process of obtaining one through the recognition procedure in Germany Berlin, and demonstrate proficiency in the German language at a minimum of B2 level (Goethe-Zertifikat B2 or equivalent) for patient-facing duties.
  3. Delivery and Commencement: The Nurse shall commence active duty at the Germany Berlin hospital site no later than 1 September 2025. The supplier, Nursing Excellence International GmbH, is responsible for ensuring all administrative, legal, and logistical preparations are completed by 15 August 2025.
  4. Payment Terms: Payment for this Purchase Order shall be made via bank transfer (SEPA-Überweisung) within 30 days of receipt of a valid invoice (Rechnung) from the supplier. The initial recruitment and placement fee (Item 01) is due upon successful completion of the Nurse's onboarding. Monthly salary payments (Item 02) shall be processed on the 28th of each month. All payments shall be made in Euros (EUR) to the supplier's designated bank account in Germany Berlin.
  5. Compliance and Data Protection: All parties shall comply with the General Data Protection Regulation (GDPR / DSGVO) and the Federal Data Protection Act (BDSG) in the handling of the Nurse's personal and professional data. The supplier warrants that all background checks and credential verifications have been conducted lawfully and with the Nurse's explicit written consent.
  6. Warranty and Replacement: Should the Nurse be unable to fulfill the duties outlined in this Purchase Order within the first 90 days due to reasons attributable to the supplier (e.g., incomplete credential verification, failure to meet language requirements), the supplier shall, at no additional cost, provide a replacement Nurse of equivalent qualification within 30 calendar days. The replacement Nurse must also meet all requirements specified for the Germany Berlin placement.
  7. Termination: Either party may terminate this Purchase Order with a written notice period of 60 days. In the event of early termination, the Nurse's employment shall be handled in accordance with the German Civil Code (BGB) and the applicable collective agreement (Tarifvertrag) for hospital nursing staff in Berlin.
  8. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or strikes affecting healthcare operations in Germany Berlin.
Note: This Purchase Order is issued in accordance with the internal procurement policies of MedCare Berlin GmbH. The Nurse referenced in this document will be employed under a standard German employment contract (Arbeitsvertrag) separate from this Purchase Order. The Purchase Order covers the procurement of recruitment, placement, and first-year support services. All statutory employer obligations, including but not limited to workplace safety (Arbeitsschutzgesetz), occupational health, and non-discrimination (AGG), remain the sole responsibility of MedCare Berlin GmbH as the employer of record in Germany Berlin.
