The Nurse engaged under this Purchase Order must hold a valid Bachelor of Science in Nursing (B.Sc. Nursing) degree, a minimum of five (5) years of clinical experience in a hospital setting within India Bangalore or its metropolitan region, and a current, unexpired registration with the Indian Nursing Council. The Nurse shall also possess valid certification in Basic Life Support (BLS) and Advanced Cardiac Life Support (ACLS) as mandated for all clinical staff operating in healthcare facilities in India Bangalore.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the engagement of the Nurse professional. All terms are governed by the laws of the Republic of India, with jurisdiction vested in the competent courts of India Bangalore, Karnataka.
2. The Nurse shall report for duty at the Buyer's facility in Indiranagar, Bangalore, no later than 06:00 AM on 01 July 2025. Failure to report within 48 hours of the scheduled start date shall entitle the Buyer to cancel this Purchase Order without penalty.
3. Payment shall be made on a monthly basis via NEFT/RTGS to the Supplier's designated bank account in Bangalore, Karnataka, within fifteen (15) calendar days of receipt of a valid tax invoice. The Supplier shall issue a GST-compliant invoice bearing the Buyer's GSTIN registered in India Bangalore.
4. The Nurse shall adhere to all hospital policies, infection control protocols, and patient confidentiality guidelines as prescribed under the Indian Medical Council (Professional Conduct) Regulations and the Karnataka Nursing and Midwifery Act. Any breach of patient privacy by the Nurse shall result in immediate termination of this Purchase Order and legal action as per applicable Indian law.
5. The Supplier warrants that the Nurse engaged under this Purchase Order is free from any disciplinary proceedings, criminal record, or professional misconduct. A police verification certificate from the Bangalore City Police Commissionerate shall be submitted prior to the Nurse's first day of deployment.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall ensure a replacement Nurse of equivalent qualification and experience is deployed within seven (7) working days to maintain continuity of care at the facility in India Bangalore.
7. All disputes arising from or in connection with this Purchase Order shall first be attempted to be resolved through mediation in Bangalore, Karnataka. If mediation fails, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India Bangalore.
8. The Nurse shall be provided with appropriate personal protective equipment (PPE), uniforms, and access to all clinical systems by the Buyer. The Supplier is responsible for the Nurse's statutory benefits including Provident Fund (PF), Employee State Insurance (ESI), and gratuity as mandated under Indian labour laws applicable in Karnataka.
9. This Purchase Order is valid for acceptance within thirty (30) days from the date of issue. The Supplier's written acceptance, signed by an authorized signatory and bearing the company seal, shall be returned to the Buyer's procurement office in Bangalore to confirm the engagement.
