This Purchase Order is issued by the Tehran Metropolitan Health Authority to procure the services of qualified registered nurses through Alborz Professional Nursing Services Co., Ltd. The Nurse personnel engaged under this Purchase Order shall be deployed across designated hospitals and community health centers within the city of Tehran, Iran.   1. Compliance with Iranian Law: All Nurse personnel engaged under this Purchase Order must hold a valid nursing license issued by the Iranian Ministry of Health and Medical Education. The Nurse must be registered with the Tehran Regional Nursing Board and must meet all statutory requirements for clinical practice within Tehran, Iran.
  2. Commencement Date: The Nurse services shall commence on 1 August 2025, or such other date as mutually agreed in writing between the parties. The Nurse shall report to the designated facility in Tehran, Iran, no later than 07:00 AM on the first day of assignment.
  3. Payment Terms: Payment shall be made in monthly installments within 30 days of the end of each calendar month. The first payment shall be due by 30 September 2025. All payments shall be processed in Iranian Rial (IRR) via bank transfer to the account specified in Section 1. The vendor shall issue a valid Iranian tax invoice (Fatura) for each payment cycle.
  4. Working Hours and Shifts: The Nurse shall work in accordance with the shift schedule established by the receiving hospital in Tehran, Iran. Standard shifts shall not exceed 12 consecutive hours. Overtime, where required, shall be compensated at 1.5 times the standard hourly rate as mandated by the Iranian Labor Code.
  5. Insurance and Benefits: The vendor shall ensure that each Nurse is covered under the Iranian Social Security Organization (Tamin-e Ejtemaei) for health, accident, and occupational injury insurance. Additional professional liability insurance for the Nurse shall be maintained at the vendor's expense throughout the term of this Purchase Order.
  6. Performance Standards: The Nurse shall adhere to the clinical protocols, patient care standards, and documentation requirements of the assigned facility in Tehran, Iran. Failure to meet performance benchmarks as defined in the attached Service Level Agreement (SLA) may result in reassignment or termination of the individual Nurse's contract without penalty to the issuing authority.
  7. Confidentiality and Patient Data: The Nurse shall comply with all data protection and patient confidentiality regulations applicable in Iran, including the Iranian Health Information Protection Act. All patient records accessed during the Nurse's assignment in Tehran, Iran, shall be handled in strict accordance with institutional policy.
  8. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the vendor shall ensure a minimum 30-day transition period during which replacement Nurse personnel are identified and onboarded to maintain continuity of care in Tehran, Iran.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the auspices of the Tehran Chamber of Commerce, Industries, Mines and Agriculture. If mediation fails, the matter shall be referred to the competent courts of Tehran, Iran.
  10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran, with specific reference to the labor regulations applicable in Tehran, Iran.

This Purchase Order constitutes a binding commitment upon signature by both parties. The vendor acknowledges receipt of this Purchase Order and agrees to furnish the Nurse services as described herein in full compliance with all terms, conditions, and regulatory requirements applicable in Tehran, Iran.
