The Nurse shall report to the designated clinical supervisor on the first day of the contract and shall maintain a consistent presence at the Israel Jerusalem facility throughout the engagement period, subject to approved leave and shift rotations.
- Payment shall be made in monthly installments via bank transfer to the supplier's designated account, due within thirty (30) days of invoice receipt.
- The initial onboarding and credentialing fee (Item 2) is payable within fourteen (14) days of the Nurse's successful completion of orientation.
- All amounts are denominated in Israeli New Shekels (ILS) and are subject to the prevailing VAT rate in Israel at the time of invoicing.
- Late payments shall accrue interest at the rate of 1.5% per month, in accordance with Israeli commercial law.
- The Buyer reserves the right to withhold payment for any month in which the Nurse's performance does not meet the clinical competency standards outlined in the attached Service Level Agreement.
- This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be resolved through arbitration in Jerusalem, Israel, in accordance with the Israeli Arbitration Law, 5728-1968.
- The Nurse engaged under this Purchase Order must comply with all regulations of the Israeli Ministry of Health, the Israel Nurses Association, and the facility's internal policies regarding patient confidentiality (HIPAA-equivalent under Israeli law), infection control, and emergency protocols.
- The supplier warrants that the Nurse shall possess all necessary qualifications, licenses, and certifications valid in Israel Jerusalem and throughout the State of Israel for the entire duration of the contract.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination.
