This Purchase Order authorizes the procurement of qualified Nurse professionals to be deployed across multiple healthcare facilities within the Japan Kyoto metropolitan area. The Nurse placements are intended to address the critical staffing shortages identified by the Kyoto Regional Medical Consortium for the fiscal year 2025–2026. Each Nurse assigned under this Purchase Order must hold valid registration with the Japan Nurses Association and possess a minimum of three years of clinical experience in their designated specialty. The Nurse professionals will be stationed at partner hospitals, clinics, and long-term care facilities located in the Higashiyama, Nishikyo, and Fushimi wards of Japan Kyoto. All Nurse personnel shall comply with the standards set forth by the Japan Kyoto Prefectural Health Bureau and adhere to the ethical guidelines of the Japanese medical community.
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplying Party. The Nurse placement schedule must be confirmed within five (5) business days of Purchase Order acceptance.
- Delivery and Onboarding: All Nurse professionals must arrive at their designated Japan Kyoto facility no later than the Required Delivery Date stated above. The Supplying Party is responsible for all travel, visa, and relocation logistics for each Nurse.
- Quality Assurance: The Nurse Supervisor shall conduct monthly performance evaluations of all Nurse staff. Any Nurse found to be underperforming or in violation of Japan Kyoto healthcare regulations may be subject to replacement at no additional cost to the Purchasing Party.
- Payment Schedule: Payment of 40% is due upon Purchase Order acceptance, 40% upon successful onboarding of all Nurse personnel in Japan Kyoto, and the remaining 20% upon completion of the 12-month contract term.
- Confidentiality: All patient data and operational information encountered by the Nurse staff in Japan Kyoto facilities shall be treated as strictly confidential in accordance with Japan's Act on the Protection of Personal Information (APPI).
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Purchasing Party shall compensate the Supplying Party for the proportion of Nurse services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with jurisdiction vested in the Kyoto District Court, Japan Kyoto.
- Force Majeure: Neither party shall be liable for delays in Nurse deployment caused by natural disasters, government mandates, or public health emergencies affecting the Japan Kyoto region.
