This Purchase Order is issued by Al-Nahda Medical Staffing Solutions W.L.L. (hereinafter referred to as the "Purchasing Entity") to Global Health Talent Partners LLC (hereinafter referred to as the "Vendor") for the recruitment, screening, and placement of a qualified Nurse to provide clinical nursing services at the Al-Nahda Private Medical Center, located in Kuwait, Kuwait City. This Purchase Order constitutes a binding agreement between both parties upon full execution and shall be governed by the commercial laws of the State of Kuwait.

OF THE NURSE POSITIONThe Vendor shall identify, recruit, medically screen, and place one (1) registered Nurse (RN) to serve at the Al-Nahda Private Medical Center in Kuwait, Kuwait City. The Nurse shall be responsible for patient assessment, administration of prescribed medications, wound care, vital sign monitoring, patient education, and coordination with physicians and multidisciplinary healthcare teams. The Nurse must hold a valid Bachelor of Science in Nursing (BSN) or equivalent qualification, possess a minimum of five (5) years of post-licensure clinical experience in a hospital or critical care setting, and be proficient in English with conversational Arabic preferred. The Nurse must obtain full licensure and registration with the Kuwait Ministry of Health prior to commencing duties in Kuwait, Kuwait City.

Payment for this Purchase Order shall be made in accordance with the following schedule: (a) Fifty percent (50%) of the Grand Total, amounting to KWD 2,283.75, shall be due within fourteen (14) calendar days of the Vendor's written confirmation that the Nurse has been identified and has accepted the position in Kuwait, Kuwait City. (b) The remaining fifty percent (50%), amounting to KWD 2,283.75, shall be due within fourteen (14) calendar days following the Nurse's successful completion of the orientation period and commencement of active clinical duties at the Al-Nahda Private Medical Center. All payments shall be made via bank transfer to the Vendor's designated account in United Arab Emirates Dirhams (AED) at the prevailing exchange rate on the date of transfer. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Kuwaiti commercial law.
4. DELIVERY AND COMMENCEMENT OBLIGATIONSThe Vendor shall ensure that the Nurse arrives in Kuwait, Kuwait City no later than 25 July 2025 to allow sufficient time for final licensing clearance, residence visa processing, and the mandatory orientation program. The Vendor is solely responsible for all pre-arrival documentation, including but not limited to the Nurse's passport, academic transcripts, professional references, police clearance certificate, and medical fitness report. The Purchasing Entity shall provide the employment contract, local sponsor (kafala) documentation, and all Kuwait-specific regulatory filings required by the Ministry of Health and the Public Authority for Manpower. Failure of the Vendor to deliver the Nurse by the stipulated date shall entitle the Purchasing Entity to a penalty of KWD 100 per calendar day of delay, up to a maximum of KWD 2,000, after which this Purchase Order may be terminated without further liability.
5. TERMS AND CONDITIONS(a) This Purchase Order is subject to the laws of the State of Kuwait and the Kuwait Civil and Commercial Codes. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Kuwait, Kuwait City. (b) The Vendor warrants that the Nurse placed under this Purchase Order shall meet all qualifications, licensure requirements, and ethical standards mandated by the Kuwait Ministry of Health. (c) The Vendor shall maintain full professional indemnity and liability insurance covering the Nurse for the duration of the initial twelve (12) month contract period. (d) Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party. (e) All personal data of the Nurse collected during the recruitment process shall be handled in compliance with the Kuwait Personal Data Protection Law (Law No. 30 of 2016). (f) This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of the Nurse's commencement of duties, after which it may be renewed by mutual written agreement.
6. CANCELLATION AND TERMINATIONEither party may cancel this Purchase Order in writing with a minimum of thirty (30) days' prior notice. In the event of cancellation after the Nurse has been placed and has commenced duties in Kuwait, Kuwait City, the Purchasing Entity shall be liable for all non-recoverable costs incurred by the Vendor, including but not limited to airfare, licensing fees, and accommodation expenses. Cancellation due to the Vendor's failure to deliver a qualified Nurse shall release the Purchasing Entity from all payment obligations and entitle it to a full refund of any advance payments made.
