Terms and Conditions

  • This Purchase Order is governed by the Commercial Code of Mexico and applicable federal and local labor regulations in force in Mexico Mexico City. All disputes shall be resolved through arbitration in Mexico Mexico City under the rules of the Centro de Arbitraje de la CDMX.
  • The vendor, MedNurse Solutions International, S.A. de C.V., warrants that every Nurse assigned under this Purchase Order holds a valid and current professional license (Cédula Profesional) issued by the SEP, an active registration with the Comisión Nacional de Arbitraje Médico (CONAMED), and a clean criminal background check (constancia de no antecedentes penales) obtained from the Fiscalía General de la República.
  • All Nurse personnel shall comply with the data protection obligations established under the Ley Federal de Protección de Datos Personales en Posesión de los Particulares and the specific health data regulations applicable in Mexico Mexico City.
  • Delivery of all services and supplies shall be made to the designated facility in Mexico Mexico City. The vendor is responsible for all transportation, insurance, and handling costs within the Mexico Mexico City metropolitan area.
  • The Nurse assignments are subject to a 30-day probationary period. During this period, Clínica del Valle may terminate any individual Nurse assignment with 72 hours' written notice without penalty if performance does not meet the clinical standards outlined in Annex A of this Purchase Order.
  • Payment shall be processed via SPEI transfer to the account specified above. Invoices must be issued in accordance with Mexican tax law (CFDI 4.0 format) and submitted to the procurement department of Clínica del Valle in Mexico Mexico City no later than the 5th business day of each month.
  • This Purchase Order may be amended only by mutual written agreement of both parties. Any modification affecting the scope of Nurse services, staffing levels, or delivery locations within Mexico Mexico City must be documented in a formal addendum signed by authorized representatives of both entities.
  • The vendor shall maintain professional liability insurance (seguro de responsabilidad profesional) with a minimum coverage of MXN $5,000,000 per claim for all Nurse personnel, valid throughout the term of this Purchase Order and compliant with requirements set by the Secretaría de Salud in Mexico Mexico City.
  • Early termination by either party requires 60 days' written notice. Upon termination, the vendor shall ensure an orderly transition of all Nurse duties and patient care responsibilities to replacement personnel or directly to Clínica del Valle's internal nursing staff within Mexico Mexico City.
