- Scope of Services: The Seller shall provide all Nurse personnel listed in Section 1 to the Buyer's facility in Nepal Kathmandu. All Nurses must hold a valid license issued by the Nursing Council of Nepal and must comply with the Nursing and Midwifery Act, 2053 (1996) and its subsequent amendments.
- Commencement Date: All Nurse services shall commence on or before 1 August 2025. The Seller is responsible for completing all onboarding, background verification, and orientation procedures within Nepal Kathmandu prior to the commencement date.
- Payment Terms: Payment shall be made in monthly installments within 30 days of receipt of the invoice. The total contract value of NPR 58,320,000 (Fifty-Eight Million Three Hundred Twenty Thousand Nepali Rupees) shall be disbursed in equal monthly installments of NPR 4,860,000. Payment shall be made via bank transfer to the Seller's designated account in Nepal.
- Applicable Taxes: All amounts are exclusive of Value Added Tax (VAT) at 13% as per the VAT Act, 2052 (1995) of Nepal. Service tax, if applicable, shall be borne by the Seller. The final payable amount including VAT shall be NPR 65,901,600.
- Working Hours and Shifts: Nurses shall work in accordance with the shift schedule specified in Section 1. Overtime, if required, shall be compensated at 1.5 times the standard hourly rate as per the Nepal Labour Act, 2074 (2017).
- Quality Assurance: The Seller shall ensure that all Nurse personnel maintain competency through continuous professional development (CPD) as mandated by the Nursing Council of Nepal. Quarterly performance reviews shall be conducted jointly by the Buyer and Seller at the Nepal Kathmandu facility.
- Substitution: In the event a Nurse is unable to perform duties due to illness, leave, or other valid reasons, the Seller shall provide a qualified replacement Nurse of equivalent or higher qualification within 48 hours. The replacement must also be NMC-licensed and meet the experience criteria specified in this Purchase Order.
- Confidentiality: All Nurse personnel shall adhere to the Nepal Privacy Act, 2075 (2018) and maintain strict patient confidentiality. Any breach of patient data shall result in immediate termination of the individual's assignment and may lead to legal action.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In cases of material breach, termination may be effected with 14 days' notice. Upon termination, all outstanding payments for services rendered up to the termination date shall be settled within 30 days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Nepal, specifically the Contract Act, 2056 (1999) and the Health Sector Act, 2062 (2005). Any disputes shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 2055 (1998).
- Insurance: The Seller shall maintain comprehensive professional liability insurance and workers' compensation coverage for all Nurse personnel as required by Nepali law. Certificates of insurance shall be provided to the Buyer prior to commencement.
- Compliance with Local Regulations: All Nurse services rendered in Nepal Kathmandu shall comply with the regulations of the Kathmandu Metropolitan City Health Office, the Bagmati Province Health Directorate, and the federal Ministry of Health and Population.
All Nurse personnel shall be physically deployed at the Buyer's primary healthcare facility located at Baneshwor-10, Kathmandu, Bagmati Province, Nepal. The Seller shall bear all costs associated with transportation, accommodation (if applicable), and initial deployment logistics within the Nepal Kathmandu metropolitan area. The Buyer shall provide a safe and compliant working environment in accordance with occupational health and safety standards set by the Department of Occupational Safety and Health, Nepal.
4. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Nurse services in Nepal Kathmandu. This document constitutes a binding agreement between the parties upon execution.
